b. In case of Agreement being terminated by ASI, ASI reserves the right to ask IA to continue<br />
running the <strong>Project</strong> operations <strong>for</strong> a period of 6 months after termination orders are issued.<br />
Such period can be extended if the transfer is not complete and/or not done to the<br />
satisfaction of ASI. In case of successful transfer to the satisfaction of ASI is achieved be<strong>for</strong>e<br />
the period of 6 months after termination orders, ASI reserves the right to relieve IA of the<br />
obligation to run <strong>Project</strong> operations earlier than the period of 6 months.<br />
c. Upon service of a notice under this Article the following provisions shall apply:<br />
(i) All risk and titles to the Assets to be transferred to ASI, ASI pursuant to this Article<br />
shall be transferred to <strong>Project</strong>, on the day of delivery to ASI.<br />
(ii) ASI shall take over the physical assets from the Implementation Agency on the last<br />
day of the exit management period.<br />
(iii) Payment to the outgoing IA shall be made to the tune of last set of completed<br />
transactions, subject to SLA requirements and <strong>for</strong> any Capex component that has<br />
been accepted by ASI but is pending <strong>for</strong> payment.<br />
(iv) The outgoing IA will pass on to ASI and/or to the Replacement IA, the subsisting<br />
rights in any leased properties/ licensed products on terms not less favorable to ASI<br />
/ Replacement IA, than that enjoyed by the outgoing IA.<br />
(v) The task of IA with reference to the Exit Management is deemed to be complete<br />
only when ASI issues a satisfactory completion certificate <strong>for</strong> the Exit Management.<br />
7.3. Cooperation And Provision Of In<strong>for</strong>mation<br />
During the exit management period:<br />
a. the Implementation Agency will allow ASI access to in<strong>for</strong>mation reasonably required<br />
to define the then current mode of operation associated with the provision of the<br />
services to enable ASI to assess the existing services being delivered;<br />
b. promptly on request by ASI, the Implementation Agency shall provide access to and<br />
copies of all in<strong>for</strong>mation held or controlled by them which they have prepared or<br />
maintained in accordance with the MSA, the <strong>Project</strong> Implementation, and the<br />
Operation and Management SLA relating to any material aspect of the Services<br />
(whether provided by the Implementation Agency or sub-contractors appointed by<br />
the Implementation Agency). ASI shall be entitled to copy all such in<strong>for</strong>mation. Such<br />
in<strong>for</strong>mation shall include details pertaining to the services rendered and other<br />
per<strong>for</strong>mance data. The Implementation Agency shall permit ASI and/or any<br />
