"Index Level" means the level of the Index as determined by the Determination Agent at the relevant<br />

Valuation Time on each Index Valuation Date by reference to the level of the Index published by the<br />

Index Sponsor.<br />

"Index Linked Redemption Amount" means an amount [, which shall never be less than the<br />

Protection Amount,] determined by the Determination Agent on the Final Index Valuation Date in<br />

accordance with the following formula [specify redemption formula] and which shall always be equal<br />

to or greater than zero and, in the event that such amount will be less than zero, shall be deemed to be<br />

zero [if so specified in the Final Terms].<br />

"Index Sponsor" means [insert name of sponsor] which is the corporation or other entity that is<br />

responsible for setting and reviewing the rules and procedures and the methods of calculation and<br />

adjustments, if any, related to the relevant Index and announces (directly or through an agent) the level<br />

of the relevant Index on a regular basis during each Scheduled Trading Day; where reference to the<br />

Index Sponsor shall include a reference to the "Successor Index Sponsor" defined in §4d(1) below.<br />

"Index Valuation Date(s)" means [insert Valuation Time and Financial Center] on [insert date]<br />

where [insert date] shall be the "Final Index Valuation Date".<br />

§4c<br />

(Redemption. [Extraordinary Events])<br />

(1) The [Notes] [Certificates] shall be redeemed on [insert Maturity Date] (the "Maturity Date")<br />

at [the Index Linked Redemption Amount] [either the Index Linked Redemption Amount or<br />

by delivery of [insert securities to be delivered]] [upon automatic exercise] as determined by<br />

the Determination Agent in accordance with the provisions hereof [and the Final Terms] and<br />

as notified to the [Noteholders] [Certificateholders] in accordance with §12 by the<br />

Determination Agent immediately after being determined.<br />

(2) Extraordinary Event. In the event of an Extraordinary Event the Issuer may redeem all, or some<br />

only, of the [Notes] [Certificates] then outstanding at the Early Redemption Amount [or any<br />

other amount specified in the Final Terms] together, if appropriate, with interest accrued to (but<br />

excluding) the date of redemption upon the Issuer having given not less than [5] [specify]<br />

Business Days' notice to the [Noteholders] [Certificateholders] in accordance with §12; and not<br />

less than 7 Business Days before the giving of such notice, notice to the Fiscal Agent [(unless<br />

the Fiscal Agents acts as Determination Agent)].<br />

§4d<br />

(Successor Index. Determination Agent Adjustment. Correction of an Index. Disrupted Days)<br />

(1) Successor Index. If any Index is not calculated and announced by the Index Sponsor but is<br />

calculated and announced by a successor to the Index Sponsor (the "Successor Index Sponsor")<br />

acceptable to the Determination Agent or replaced by a successor index using, in the<br />

determination of the Determination Agent, the same or a substantially similar formula for, and<br />

method of, calculation as used in the calculation, of that Index (the "Successor Index"), then<br />

such Index shall be deemed to be the index so calculated and announced by the Successor Index<br />

Sponsor or that Successor Index, as the case may be.<br />

(2) Determination Agent Adjustment. If, in the determination of the Determination Agent on or<br />

before any Index Valuation Date the Index Sponsor (or if applicable) Successor Index Sponsor<br />

makes a material change in the formula for, or the method of calculating, an Index or in any<br />

other way materially modifies an Index (other than a modification prescribed in that formula or<br />

method to maintain that Index in the event of changes in constituent securities and capitalisation<br />

and other routine events) (an "Index Modification"); or permanently cancels the Index and no<br />

Successor Index exists (an "Index Cancellation") or on any Index Valuation Date the Index<br />

Sponsor fails to calculate and publish the Index Level (an "Index Disruption"), then the<br />

Determination Agent shall calculate the Index Linked Redemption Amount and/or the relevant
