"Currency Valuation Date" means, [specify date] [the date specified in the applicable Final Terms].<br />

(or, if such date is not an Exchange Business Day the next following Business Day) unless there is a<br />

Disrupted Day in respect of any relevant currency on that day in which event § 4d will apply and<br />

provided that such date is at least two Business Days prior to the Maturity Date (other than where the<br />

Notes are redeemed early in which case it will be the second Business Day preceding the Early<br />

Redemption Date).<br />

"Disrupted Day" means in respect of a Relevant Currency any Scheduled Trading Day on which a<br />

relevant Exchange or any Related Exchange fails to open for trading during its regular trading session<br />

or on which a Market Disruption Event has occurred.<br />

"Disruption Redemption Amount" means the Redemption Amount or Early Redemption Amount (as<br />

the case may be), calculated by the Determination Agent in its absolute discretion following the<br />

occurrence of a Disruption Event taking into consideration all available information that it deems<br />

relevant less the cost to the Issuer of unwinding any underlying related hedging arrangements.<br />

"Dual Exchange Rate" means with respect to any Exchange Rate, that the Exchange Rate splits into<br />

dual or multiple currency exchange rates.<br />

"Exchange Business Day" means, any Scheduled Trading Day on which each Exchange and Related<br />

Exchange are open for trading during their respective regular trading sessions, notwithstanding any<br />

such Exchange or Related Exchange closing prior to its Scheduled Closing Time.<br />

"Exchange Rate Time" means the time or times on the relevant Pricing Date at which the relevant<br />

exchange rate will be taken for conversion into the currency in which any Redemption Amount or<br />

Early Redemption Amount, as the case may be, in respect of an issue of Notes is to be paid.<br />

"Exchange Rate" means the rate of exchange of the currency of [specify country] [one country] for the<br />

currency of [specify country] [another country, as specified in the applicable Final Terms].<br />

"Exchange" means in respect of a Relevant Currency, each exchange or quotation system specified as<br />

such hereon for such currency, any successor to such exchange or quotation system or any substitute<br />

exchange or quotation system to which trading in such currency has temporarily relocated (provided<br />

that the Determination Agent has determined that there is comparable liquidity relative to such<br />

currency on such temporary substitute exchange or quotation system as on the original Exchange).<br />

"Governmental Authority" means any de facto or de jure government (or any agency or<br />

instrumentality thereof), court, tribunal, administrative or other governmental authority or any other<br />

entity (private or public) charged with the regulation of the financial market (including the central<br />

bank) of the countries for which the Relevant Currencies are the lawful currencies.<br />

"Illiquidity Disruption" means in relation to an Exchange Rate the occurrence of an event whereby it<br />

becomes impossible to obtain a firm quote of the Settlement Rate for an amount to be determined by<br />

the Determination Agent on the Currency Valuation Date (or, if different, the day on which rates for<br />

that Currency Valuation Date would, in the ordinary course, be published or announced by the relevant<br />

price source).<br />

"Price Source Disruption", means in relation to an Exchange Rate in respect of a Currency Linked<br />

Note, it becomes impossible to obtain the Settlement Rate on the Currency Valuation Date (or, if<br />

different, the day on which rates for that Currency Valuation Date would, in the ordinary course, be<br />

published or announced by the relevant price source).<br />

"Pricing Date" means [specify date] [the date specified in the applicable Final Terms].<br />

"Rate Calculation Date" means the Currency Valuation Date or the Averaging Date, as appropriate.<br />

"Related Exchange(s)" means subject to the provision below, in respect of a Relevant Currency, each<br />

exchange or quotation system if any, specified as such in the Final Terms, any successor to such<br />

exchange or quotation system or any substitute exchange or quotation system to which trading in<br />

futures or options contracts relating to such currency has temporarily relocated (provided that the<br />

Determination Agent has determined that there is comparable liquidity relative to the futures or options
