Service contracts<br />
Mr Boëttger has, and Mr Thompson had, ongoing employment<br />
contracts that require nine months’ notice of termination from<br />
the employee and eighteen months’ notice of termination from<br />
the company.<br />
In reviewing the service contracts of executive directors, the<br />
committee changed the terms of notice and therefore Mr Binnie<br />
has an employment contract that requires six months’ notice of<br />
termination from the employee and twelve months’ notice of<br />
termination from the company.<br />
Depending on their location, other key senior managers have<br />
ongoing employment contracts which require between three<br />
to six months’ notice of termination by the employee and six<br />
to twelve months’ notice of termination from the company.<br />
Generally, in North America, employment is ‘at will’. Most senior<br />
managers have a retirement age of 60 to 65 years, which differs<br />
by region.<br />
Following are details of the compensation and share interests<br />
of executive directors and prescribed officers.<br />
