: - The Extraordinary General Meeting of Shareholders held on January 11, 2007 has
approved the issue and offer warrants to purchase new ordinary shares of the
Company to the existing shareholders of the Company (“Warrant No. 1”) in
proportion of shareholding in the Company without cost in the amount of
100,000,000 units and issue and offer for sale of warrants to purchase new ordinary
shares of the Company to directors, executives, and employees of the Company
and its subsidiaries (“Warrant-ESOP”) without cost in the amount of 20,000,000
units.
- Registered and set up CNG Hybrid Vehicle Co., Ltd. with the initial registered
capital of Baht 10,000,000 on January 26, 2007 to import, sell and install of natural
gas (NGV and/or LPG) fueling equipment for cars.
- Allocated the warrant no. 1 to the existing shareholders of the Company and the
ESOP-warrant to the directors, executives, and employees of the Company and its
subsidiaries.
- Launched the “S.E.C. OK.” Project, a new business line which offers customers
premium used automobiles at a reasonable price.
New Petchburi S.E.C. Group Co., Ltd. increased its registered capital from Baht
5,000,000 to Baht 30,000,000 comprising 300,000 shares with par value of Baht 100
each. The capital increase is for the purpose of enhancing the working capital of the
subsidiary and the company will retain 99.99 percent shareholding subsequent to
the capital increase.
