Regulations and Procedures for an Approval of Related Transactions
To protect corporate benefits and equitable interests of shareholders, The Company’s policy on related party
transactions are to be conducted according to regulations of the Office of the Securities and Exchange
Commission and the Stock Exchange of Thailand. In the consideration and approval of any connected
transaction, the Company shall propose such matter to the Board of Directors meeting, in which the Audit
Committee shall attend those meeting and consider the necessity and appropriateness of such connected
transactions for the maximum benefits of the Company.
In year 2007, the Company’s Board of Directors approved all related transactions to be necessary and
appropriate. Prices charged for these transactions were subject to normal trading terms and comparable to
those charged to other outsiders. Conditions applied to these transactions were also made in the ordinary
course of business.
For the related party transactions which have continuing occurred, undertaken and have approved by the
Audit Committee, the Audit Committee is also responsible for reviewing such related party transactions every
quarter.
Mitigation plan and policy for future related party transactions
Entering into any connected transaction in the future will depend on the reason and necessity of the Company,
provided that the remuneration to be paid or received is based on the fair market value. Any future related
transactions will be treated with systematic procedures as stated earlier.
