Statement on Compliance with the Corporate Governance Code<br />

The governing bodies of Všeobecná úverová <strong>banka</strong>,<br />

a.s. committed to enhance the general level of<br />

corporate governance and, upon recommendations<br />

raised by the Financial Market Authority and Bratislava<br />

Stock Exchange, have adopted the Corporate<br />

Governance Code (hereinafter “Code”) in the scope<br />

given below. The Management and Supervisory<br />

Boards undertook to adopt measures as to achieve<br />

full implementation of the Code principles.<br />

Ignacio Jaquotot – Chairman of Management<br />

Board and CEO of VÚB, a.s.<br />

Mr. Jaquotot was appointed Chairman of the Management<br />

Board and CEO of Všeobecná úverová<br />

<strong>banka</strong>, a.s. in July 2007 after he had acted as Vice-<br />

-chairman of Management Board and Deputy CEO<br />

of Všeobecná úverová <strong>banka</strong>, a.s. from April 2005.<br />

Mr. Jaquotot’s career with Intesa Sanpaolo Group<br />

started already back in 1984. First he held the positions<br />

of Deputy General Manager and General<br />

Manager at the former Banca Commerciale Italiana<br />

branches in Madrid and Barcelona, respectively.<br />

In 1999, he went on to serve in South America as<br />

the General Manager in Banco Sudameris Uruguay,<br />

then Banco Sudameris Chile, and Banco Sudameris<br />

Paraguay. In Chile and Paraguay, he restructured<br />

the operations and then assisted as the local<br />

coordinator for sale of the banks.<br />

Jonathan Locke – Member of VUB Management<br />

and Deputy to CEO of VÚB, a.s. and<br />

Head Banks‘s Risk Management division<br />

Mr. Locke was appointed member of the VUB Management<br />

Board and Head of Bank’s Risk Management<br />

division in August 2003. He was appointed<br />

Deputy to CEO of Všeobecná úverová <strong>banka</strong>, a.s. in<br />

July 2007. Mr. Locke was previously a partner with<br />

Deloitte & Touche in the Czech Republic. He has<br />

15-year experience working with fi nancial institutions,<br />

the last 10 in Central and Eastern Europe and<br />

Russia, especially in the areas of fi nance and risk.<br />

Domenico Cristarella – Member of VUB Management<br />

Board and Executive Director of Finance,<br />

Planning & Controlling Division (from<br />

Dercember 20, 2001)<br />

Since 1998, Mr. Cristarella worked with Banca<br />

Commerciale Italiana (BCI), Headquarters Milan,<br />

in the position of Senior Manager responsible for<br />

budgeting and performance measurement for the<br />

entire foreign network of BCI – subsidiaries, branches,<br />

and representative offi ces. During his professional<br />

career, Mr. Cristarella worked in a number of<br />

overseas branches within the Group, including BCI<br />

Singapore, BCI Abu Dhabi, Tokyo, and New York,<br />

where he was appointed Chief Financial Offi cer.<br />

Jozef Kausich – Member of VUB Management<br />

Board and Executive Director of Corporate<br />

Banking Division (from April 4, 2005)<br />

Mr. Kausich has been heading the Corporate Banking<br />

Division in VUB since April 2005. His banking<br />

experience includes mainly mergers and acquisitions<br />

and also credit analysis and decision-making<br />

on lending. In 1996, he joined Tatra<strong>banka</strong> as an account<br />

manager in a branch and from 1997 he continued<br />

in this position at the headquarters of Bank<br />

Austria – Creditanstalt Slovakia. From 2001, with<br />

the new HVB Bank Slovakia, he was appointed the<br />

Head of the Corporate Customer and Product Management<br />

Division and fi nally the Head of Corporate<br />

Client Division.<br />

Ivan Golian – Member of VUB Management<br />

Board and Executive Director of IT and Operations<br />

Division (from January 1, 2006)<br />

Mr. Golian joined VUB after more than 8 years<br />

spent in Executive Management of Orange Slovensko<br />

where he was primarily responsible for Corporate<br />

Project Management Offi ce and Information<br />

System Department. From 1995 to 1997, he worked<br />

with Digital Equipment Corporation, Slovakia as a<br />

Project Manager for “Banking & Telco Sector“ in<br />

Slovakia and the Czech Republic. He also participated<br />

in various IRB projects (support for “Banking<br />

System Profi le“ implementation, Security Project,<br />

101 VUB, a Bank of Intesa Sanpaolo Group “Disaster<br />

Solution“, “LinkWorks“). He also managed projects<br />

for the Slovak Post, Eurotel, Slovak Statistical<br />

Offi ce and such projects.<br />
