in addition to those established by that Committee, which have<br />

II.22. Information on irregularities report policy adopted in<br />
the company.<br />
As for the irregularities report policy allegedly occurred, the<br />
Company motivates the employees to report, by any means<br />
deemed suitable – direct contact, written document, email or<br />
by phone – the respective hierarchies of any detected<br />
irregularities. People qualified to receive those reports are<br />
their respective superiors (directors and people in charge of<br />
operating centres and central directorates).<br />
Whenever deemed necessary and suitable for the correct<br />
finding (clearance) of facts and respective practice<br />
responsibilities, the corresponding proceedings or<br />
investigation shall be started, complying also with the<br />
necessary report confidentiality when this is required by the<br />
respondent or as such deemed necessary by the receiver<br />
party, notwithstanding the non alignment with persecution<br />
practices of no value for the organization.<br />
The proceedings are followed up by the person in charge<br />
for the department where the irregularity took place,<br />
turning to the people not involved in those situations and, if<br />
deemed necessary, to the judicial services and central<br />
directorate of human resources and administrative<br />
services.<br />
The proceedings are subject to a decision by the involved<br />
hierarchies and are reported to the Board of Directors and any<br />
other entities to which this report is to be made in a<br />
compulsory way.<br />
In addition to the mentioned rules and especially from the<br />
other stakeholders’ point of view, there is an Investor’s<br />
Support Office available also for possible reports of<br />
irregularities, as well as to the company’s other supervisory<br />
bodies, such as the Supervisory Board and the Chartered<br />
Accountants Company.<br />
CHAPTER III<br />
Information<br />
Always within a philosophy of sobriety, accuracy, honesty and<br />
sensationalism-free, the Company publishes in a complete,<br />
true, current, clear, objective and licit manner, within the<br />
timeframes and using the established disclosure means, not<br />
only all the facts legally considered to be likely to be reported,<br />
namely the ones integrated in the concept of “privileged<br />
information”, established in article 248 of the Portuguese<br />
Securities Market Code, but also the financial information and<br />
the one regarding the activity, provided for by the rules in force,<br />
both individual, and consolidated.<br />
In addition to the below mentioned Investor Support Office, all<br />
shareholders have at their disposal, within the legal terms and<br />
timeframes, the business report, the accounts and other<br />
elements of preparatory information which enable them to<br />
attend, dully entitled, the works of the General Meetings of the<br />
Company.<br />
The Annual Reports on the activity developed by the<br />
Supervisory Board, including the description of its supervision<br />
activity mentioning occasional faced constraints, are the object<br />
of disclosure on the Company’s website, together with the<br />
documents of accounts settlement, always complying with the<br />
rules and timeframes established by the law and other<br />
regulations which apply.<br />
