the Group, who provide crucial training, guidance and<br />

information support.<br />

As far as Human Resources are concerned, an effort was<br />

made to minimize labour force inactivity, which decreased<br />

considerably, coupled with a consistent policy of vocational<br />

training and improved awareness of workplace health and<br />

safety, providing the indispensable qualifications to face new<br />

challenges that the Company is facing.<br />

Teixeira Duarte worked hard to adjust the number of staff to<br />

the activities carried out in the different sectors and markets.<br />

In the year under review, staffing levels rose again, from an<br />

average 10,717 to 13,157, in line with the expansion of<br />

operations in the external market.<br />

The Company continued to develop the organisation of the<br />

Shared Services for accounting, finance and human<br />

resources, which pursued the objective of increasing<br />

efficiency and productivity in the tasks assigned to them,<br />

while extending their activities to more companies and to<br />

the new markets in which Teixeira Duarte Group operates.<br />

The Central IT Directorate continued to respond to the<br />

challenges posed by the Group’s growth and by the diversity<br />

of business areas, creating and adapting new solutions with a<br />

view to achieving continuous improvement in data processing<br />

and quality.<br />

Among the various projects, those carried out in Angola<br />

deserve highlighting, mainly the one that allowed us to<br />

include the Food Trade activity in the SAP platform, where all<br />

the Group’s activities in that country are integrated.<br />

The implementation of the Teixeira Duarte Group Portal was<br />

a project considered to be very important and large, which is<br />

intended to be extended to all staff and through which an<br />

attempt is made to optimize the information and services<br />

areas, creating a privileged medium for connecting the<br />

Employees to the Company.<br />

This is a dynamic and evolving process, where contents shall<br />

be developed to incorporate data platforms, such as<br />

INTRANET, as well as to include the numerous services<br />

required to optimize internal communication and to speed up<br />

the connection between the employees and the Company<br />

and the use of workstations.<br />

In the technology and communications infrastructures area,<br />

the projects carried out focused on the reduction of<br />

operational risks, on security and on the availability of IT<br />

systems.<br />

The various companies that integrate Teixeira Duarte Group<br />

were encourage and supported to, whenever it was<br />

convenient for their activity, start and complete the Quality,<br />

Safety and Environmental certification processes, as well<br />

as within the scope of Social Responsibility and Research,<br />

Development and Innovation.<br />

- CORPORATE OVERVIEW:<br />

Besides fulfilling all its corporate obligations, mainly as a<br />

company issuing tradable securities on a regulated market,<br />

Teixeira Duarte also strictly complied with public disclosure<br />

requirements, at different levels, related to corporate<br />

information. This is in response to a growing interest of<br />

several market agents in Teixeira Duarte Group.<br />

Within this scope, we inform that the Annual General<br />

Meeting of “TEIXEIRA DUARTE - Engenharia e<br />

Construções, S.A.” Shareholders was held on 14 th May 2008,<br />

with significant attendance by 77.4% of the holders of the<br />

entire capital, who approved all the proposals submitted,<br />

mainly those signed by the Board of Directors, including the<br />

one regarding the ratification of the cooptation of Eng. João<br />

José do Carmo Delgado, appointed by the respective Board<br />

of Directors to fill the vacancy and to remain in office until the<br />

end of the current mandate (2007/2010), owing to the<br />

retirement of the former office holder, Eng. José Alves<br />

Pereira, on 18 th June 2007.<br />

Following the Annual General Meeting’s decision regarding<br />

the allocation of profit, the subsequent formalities were fully<br />
