13. All notices, requests, consents, demands and other communications to be given or<br />
delivered under or by re<strong>as</strong>on of the provisions of this Agreement shall be in writing and shall be (a)<br />
personally delivered (including by local or overnight courier), (b) sent by postage prepaid registered firstcl<strong>as</strong>s<br />
mail or (c) transmitted by facsimile or other electronic means, and shall be deemed to have been<br />
duly given when received if received prior to 5:00 p.m. on a business day or on the next business day (if<br />
delivered after 5:00 p.m. or on a non-business day). Notice to either party shall be sent to its address <strong>as</strong><br />
set forth above, or to such other address <strong>as</strong> a party hereto shall have given notice pursuant to this<br />
Section.<br />
