A Challenging Year<br />

At year-end, the price of the Securitas share had decreased 24 percent and<br />

market capitalization amounted to MSEk 20 666. Earnings per share amounted<br />

to SEk 4.75 (5.71), down -17 percent compared with 2010. Adjusted for the<br />

strengthening of the Swedish krona, earnings per share declined -11 percent in<br />

real terms compared with the preceding year. The Board proposes a dividend<br />

of SEk 3.00 (3.00) per share be paid to shareholders.<br />

Performance of the share in <strong>2011</strong><br />

At year-end, the closing price of the Securitas<br />

share was SEK 59.40 (78.65). The share price<br />

decreased 24 percent in <strong>2011</strong>, compared with the<br />

OMX Stockholm All Share Index, which fell 17 percent.<br />

The highest price paid for a Securitas share<br />

in <strong>2011</strong> was SEK 82.00 and the lowest price paid<br />

was SEK 45.75.<br />

At the end of <strong>2011</strong>, Securitas’ weight in the<br />

OMX Stockholm All Share Index was 0.59 percent<br />

(0.65) and 0.84 percent (0.94) in the OMX<br />

Stockholm 30 Index. Securitas’ weight in the OMX<br />

Stockholm Benchmark Cap Index was 0.75 percent.<br />

During the year, the OMX Stockholm All Share<br />

Index decreased 17 percent, while the OMX Stockholm<br />

30 Index fell 15 percent and the OMX Stockholm<br />

Benchmark Cap Index decreased 16 percent.<br />

Market capitalization for Securitas at year-end<br />

was MSEK 20 666 (27 364), making Securitas<br />

the 34th largest company on NASDAQ OMX<br />

Stockholm.<br />

Turnover<br />

A total of 433 million (431) Securitas shares were<br />

traded on NASDAQ OMX Stockholm, representing<br />

a value of MSEK 27 614 (31 724). The turnover<br />

velocity in <strong>2011</strong> was 121 percent (122), compared<br />

with a turnover rate of 96 percent (96) for the entire<br />

NASDAQ OMX Stockholm. The average number of<br />

Securitas shares traded each day was 1.7 million.<br />

In addition to trading on NASDAQ OMX Stockholm,<br />

Securitas shares were also traded on Multilateral<br />

Trading Facilities (MTFs) and other trading<br />

venues. In <strong>2011</strong>, the turnover of Securitas shares<br />

on these marketplaces totaled 210 million (249).<br />

Share capital and shareholder structure<br />

At December 31, <strong>2011</strong>, the share capital amounted<br />

to SEK 365 058 897, distributed between an<br />

equal number of shares, each with a quota value of<br />

SEK 1.00. Of these shares, 17 142 600 are Series<br />

A shares and 347 916 297 are Series B shares.<br />

Each Series A share carries ten votes and each<br />

Series B share carries one vote. The free float of<br />

the Securitas share is 87 percent.<br />

At December 31, <strong>2011</strong>, Securitas had 27 011<br />

shareholders (31 458). In terms of numbers, private<br />

individuals make up the largest shareholder category<br />

with 23 121 shareholders, corresponding to<br />

86 percent of the total number of shareholders.<br />

In terms of capital, institutions and other corporate<br />

entities dominate with 97 percent of the shares.<br />

Shareholders based in Sweden hold 64 percent<br />

of the capital and 75 percent of the votes. Compared<br />

with 2010, the proportion of foreign shareholders<br />

in the shareholder base has increased. At December<br />

31, <strong>2011</strong>, shareholders outside Sweden owned<br />

36 percent (31) of the capital and 25 percent (22)<br />

of the votes. The largest shareholdings held by<br />

foreign shareholders are in the United Kingdom<br />

and the USA, where 12 percent of the capital and<br />

votes are in the USA.<br />

At December 31, <strong>2011</strong>, the principal shareholders<br />

in Securitas were Gustaf Douglas, who<br />

through his family and the companies within the<br />

Investment <strong>AB</strong> Latour Group and Förvaltnings <strong>AB</strong><br />

Wasatornet holds 11.5 percent (11.5) of the capital<br />

and 30.0 percent (30.0) of the ■ Sweden votes, 75% and Melker<br />
