Issue of shares
Pursuant to the articles of association, the general meeting of
shareholders is the corporate body authorized to issue shares and
to disapply pre-emption rights. In each Annual General Meeting,
the general meeting of shareholders is requested to delegate
these powers to the Board. The scope of this power of the Board
shall be determined by the resolution of the general meeting of
shareholders to give the authorization. Typically, the Company
requests in each Annual General Meeting of shareholders the
authorization for the Board to issue shares up to an aggregate
nominal value of 33% of the then issued share capital and an
authorization for the Board to disapply pre-emption rights which
is limited to the allotment of shares up to a maximum aggregate
nominal amount of 10% of the then issued share capital.
The authorization is valid for a period ending on the date
of the next Annual General Meeting.
Employee involvement
The Company has 163 employees and other persons providing
similar services. The Company’s employees are vital to its ongoing
success. It is therefore important that all levels of staff are involved
in its decision-making processes. To this end, the Company has
share option scheme was adopted on October 26, 2006 (as was
amended in October 2008) which enables employees to share
directly in the success of the Company. The Company does not
expect any significant development in employees.
