Board of directorsThe Company is managed by a Board of directorscomposed of at least five and no more than twelvemembers, appointed by the General Meeting ofshareholders for a term of three or six years. As at thedate of registration of this Registration Document,the Company has ten directors, including six independentdirectors. A director’s term of office isextended de jure to the General Meeting which followsthe normal end of his term of office and leavingmembers may be re-elected. A director appointed toreplace another director remains in office only untilthe end of his predecessor’s term.The renewal of the mandate of one director, and thereplacement of one director whose mandate is toexpire, will be proposed at the General Meeting ofMay 17, 2010.14.1.2. Presidency of the Board of directors and generalmanagementIn accordance with the Company’s by-laws, theBoard of directors shall elect from among its membersa President and fix his term of office, which cannotexceed the term of his mandate as a director. SirJacques Merceron-Vicat was appointed as Presidentof the board by the Board of directors on March 27, 1984and was re-appointed by resolutions of the Board ofdirectors on June 19, 1986, June 11, 1992, June 12,1998, and June 4, 2004.The Board of directors, by a directors’ decision ofMarch 7, 2008, decided to separate the functions ofPresident of the board and Chief Executive Officer.At the same date, the Board of directors confirmedSIr Jacques Merceron-Vicat as President of the Boardof directors and appointed Mr Guy Sidos as ChiefExecutive Officer for the term of the mandate of thePresident of the board.2009 registration document - VICAT 99
