Simplified legal organisationchart for the Group as atDecember 31, 2009Some of the subsidiaries controlled by the Grouphave minority shareholders who may be industrialor financial partners, or historical shareholders in thecompany in question before it was acquired by theGroup. The presence of these minority shareholdersmay lead to the signing of shareholder agreementscontaining provision regarding the corporate governance,the information provided to the shareholdersor the evolution of the shareholdings. Nonetheless,and excluding the below-mentioned exception, theseshareholders agreements do not provide for put orcall options, modifications to the cash distribution, ormore generally measures that could have a materialimpact on the Group’s financial structure.A shareholders agreement was entered into betweenVigier Holding, Home Broker JSC (formerly knownas KazKommerts Invest) and Société FinancièreInternationale to organise their relations as shareholdersof the company Mynaral Tas, which containsa put option granted by the Group to SociétéFinancière Internationale for its 10 % shareholding inMynaral Tas. This option, which can be exercised inDecember 2014 at the earliest, and its price will bedetermined by an expert. Given this deadline andthe current state of advancement of the greenfieldproject developed by Mynaral Tas, it is not possibleas of today to evaluate the Group’s obligations onthe basis of Société Financière Internationale’s putoption (see Note 9 of Section 20.2.2. “Appendix tothe 2009 consolidated financial statements” of thisRegistration Document).58 VICAT - 2009 registration document
