7. Compliance with the Principles of Good Governance<br />

<strong>AdP</strong> SGPS governance respects the Principles of Good Governance for companies operating in the state business sector as set out<br />

in Council of Ministers Resolution no. 49/2007 of 28 March.<br />

Mission, objectives and general action principles<br />

State owned companies are required to:<br />

• Accomplish the mission and objectives that have been<br />

determined for the company in an economically,<br />

financially, socially and environmentally efficient manner<br />

in accordance with strict quality parameters, seeking to<br />

preserve and expand competitiveness, while respecting<br />

the principles of social responsibility, sustainable<br />

development, public service and meeting the needs of<br />

the community served.<br />

• Promote and disseminate the mission, objectives and<br />

policies of both the company and the holdings it<br />

controls.<br />

• Set out activity plans and budgets appropriate to the<br />

available resources and sources of finance, taking into<br />

consideration compliance with the mission and<br />

objectives defined.<br />

• Define sustainable economic, social and environmental<br />

strategies, establishing the objectives to be attained<br />

and the respective instruments for planning,<br />

implementation and control.<br />

• Adopt equality plans, following a diagnosis of the<br />

situation so as to attain effective equality in the<br />

treatment and opportunities made available to men<br />

and women, eliminating discrimination and enabling a<br />

balance between personal, family and professional lives.<br />

• <strong>Annual</strong>ly report to members of the government, the<br />

Ministry of the Environment ministry and the public in<br />

general on progress in fulfilling its mission, the degree<br />

to which it has obtained its objectives and to what<br />

extent corporate social responsibility and sustainable<br />

development policies have been complied with, as well<br />

as its terms of public service and the ongoing level of<br />

company competitiveness.<br />

• Comply with current legislation and regulations,<br />

ensuring that its behaviour is ethically irreproachable in<br />

regard to the application of fiscal norms, money<br />

laundering reporting requirements and competition,<br />

consumer protection, environmental and labour<br />

regulations, namely those relating to nondiscrimination<br />

and the promotion of gender equality.<br />

Explanation<br />

• <strong>AdP</strong> complies with the mission and the objectives<br />

that have been have been determined for the<br />

company in an economically, financially, socially and<br />

environmentally efficient manner. The group<br />

publishes an evaluation of the activities it<br />

undertakes in its <strong>Annual</strong> <strong>Report</strong> and Financial<br />

Statements.<br />

• <strong>AdP</strong> disseminates its mission, its objectives and the<br />

policies it carries through its <strong>Annual</strong> <strong>Report</strong> and<br />

Financial Statements, on the company and state<br />

business sector websites and its Employee Intranet.<br />

•<strong>AdP</strong> annually drafts its activity plan and budget in<br />

accordance with the available resources and<br />

sources of finance taking into consideration the<br />

mission and objectives defined.<br />

• The <strong>AdP</strong> Group defined an organised, strategic and<br />

tactical approach that led to the group becoming a<br />

key player in the area of sustainability. The group’s<br />

sustainability strategy is available for consultation in its<br />

<strong>Annual</strong> <strong>Report</strong> and Financial Statements and on the<br />

company and state business sector websites.<br />

•One the <strong>AdP</strong> Group commitments, and reflecting<br />

its sustainable strategy is to “guarantees equality of<br />

opportunity” and detailing its performance in the<br />

group Sustainability <strong>Report</strong>.<br />

• <strong>AdP</strong> entirely complies with its annual reporting<br />

obligations in regard both to the government and<br />

the public in general. The group publishes an<br />

evaluation of the activities it has undertaken in its<br />

<strong>Annual</strong> <strong>Report</strong> and Financial Statements.<br />

• All <strong>AdP</strong> Group activities are carried out in strict<br />

compliance with legal, regulatory, ethical, deontological<br />

and best practice requirements. In this context, <strong>AdP</strong><br />

acts in an ethically irreproachable manner in regard to<br />

the application of fiscal norms, money laundering<br />

reporting requirements and competition, consumer<br />

protection, environmental and labour regulations.
