That …, as the literary agent, agrees continuously andindependently from the date hereof, to promote all kindsof contracts on the works of illustration, literature orcombined (illustration and literature) of the a u t h o r, createdhereafter, and those preexisting works described inthe a n n e x e.II. That …, the author of works of illustration and literature,agrees to represent … for the operation of theirworks.The two parties grant the present a g e n c y agreementand to this effect agree on the followingPactsf i r s t.— o b j e c t o f t h e agreement. The object of this agreementis for the a g e n t to promote and mediate on theworks of the a u t h o r mentioned in Manifesto I, for theconcession of the rights to handle the works in the followingforms:– Agreements for publishing and awarding therights to reproduce and distribute the works of theauthor freely for any form of publishing.– Agreements to transform a pre-existing work bothfor the translation of the work and for its adaptationto the cinema, theatre or television.– Agreements of public performance and awardingof the right to publicly announce the works of theauthor for radio, dissertation, recital or any otheract of public communication.The a u t h o r awards the a g e n t the necessary authorisationto deal in his name and on his/her behalf witheverything that it necessary for achieving the objectiveshereof.The a g e n t will submit the agreements for the use ofthe works to the a u t h o r.The a u t h o r, if he accepts the proposed conditions,will close and sign the agreements awarding the rightsto use his/her works.s e c o n d.— agreement validity. This agreement will be validand cause its effects in all countries of the world from thedate of subscription.In relation to the work created by the a u t h o r previousto this date, in the event of agreement between the partiesso that they might form part hereof, the mentionedwork will be listed in the Annexe to the agreement.t h i r d.— exclusive. The a u t h o r is exclusively bound to thea g e n t and guarantees them all peaceful exercise of therights awarded herein, and states that he/she has notcontracted not will in the future contract commitmentsor encumbrances that might affect the performance ofthis agreement.f o u r t h .— a g e n t o b l i g a t i o n s. The a g e n t is obliged to promotethe work of the a u t h o r by dealing with all types ofacts with editors, producers and other people interestedin using the work of the a u t h o r and to close all necessaryagreements to this end, as established in the first pact.The a g e n t agrees to protect the interests of the a u-t h o r s and ensure the compliance with all agreementsderived here from and available to them and to develop98
their activity in accordance with their instructions, withoutprejudice to the right of the a g e n t to complete independencein their form of proceeding.Likewise, the a g e n t agrees to respect all moral andwealth rights of the a u t h o r s and to inform them of anypossible infringement thereof by others.The a g e n t will give the a u t h o r free copies of the editionor transformation of their works that might correspond,and agrees to present them with a certificate showingthe settlements of the sales of the copies of the works issuedby the editor, producer or any other awardee, if theyare processed for the a u t h o r through the a g e n t.f i f t h.— a u t h o r o b l i g a t i o n s. To pay the a g e n t … % of the remunerationcorresponding to the a u t h o r as a result of theoperation of their works listed in Manifesto I or the Annexe,in their original language and upon which the a g e n tintervenes directly, and … % in translation agreementsof the works of the a u t h o r listed in Manifesto I or the Annexeand on which the a g e n t intervenes directly.These commissions will be applied to the gross incomeof the amounts agreed as royalties. The a g e n t willpass on all withholdings and taxes that are legally establishedat any time to the a u t h o r in whole.To pay the a g e n t the same percentage as is stipulatedin the previous paragraph, if one of their works hereundershould win any award of which the prize involves anadvance on future sales.To authorise the a g e n t to directly collect all remunerationson their behalf from royalties agreed in theagreements signed with their intervention, and to deductall percentages that might correspond to them ascommission.To irrevocably give the a g e n t all necessary informationand documents for their work.The a u t h o r is obliged to respect the operation of theagency, by recognising the independence of the a g e n t indeveloping their activity, and their necessary capacity tofulfil the object hereof. The a u t h o r will at all show a respectfulattitude of collaboration with the a g e n t.s i x t h.— a u t h o r i s a t i o n t o c o n t r a c t w i t h s u b a g e n t s. The a u-t h o r authorises the a g e n t to make use of sub-agents. Allexpenses, taxes and commission that they might accreditand/or deserve will run exclusively to the a g e n tand will be paid in the manner that the a g e n t and thesub-agent might agree, leaving the a u t h o r free of allresponsibility.s e v e n t h .— expenses in c o m p l i a n c e w i t h t h e agreement. All expensescaused in this mediation will run to the a g e n t. Anyadditional expenses caused by the defence in and out ofcourt of the a u t h o r ’s intellectual property rights, such aslawyers’ fees, notary public acts and others, will run tothe a u t h o r, as long as they have received their previousapproval.e i g h t h.— d u r a t i o n o f t h e agreement. This agreement willhold for 1 year counting from the time it is signed. At theend of the agreement in the course of the indicated term,it will be deemed automatically renewed for successiveperiods of one year if neither of the parties should informthe other, by certified letter, of their intention to terminatethe agreement with forewarning of one month withrespect to the date of the end of the initial period or anyof the extensions.If this agreement should be resolved, the a g e n t willcontinue to receive the commissions they have deservedin the agreements signed through their intervention untilthe termination.n i n t h.— reasons f o r expiration. The legal relationship derivedhere from will expire with the time established inthe previous clause and for the following causes:– Through the mutual agreement of the parties. Inthis case, the compensations will be agreed thatthe a u t h o r must pay the a g e n t, either for their earningsor for the expenses incurred by the a g e n t in developingtheir activity that have not been repaid.– Through the total or partial infringement of thespecific obligations by the parties.t e n t h .— l e g a l system a n d a p p l i c a b l e jurisdiction. This agreementwill be governed and interpreted according tothe provisions of legislative royal decree 1/1996, of 12thApril, approving the rewritten text of the law of intellectualproperty and by the imperative rules of law 12/1992of 27th May, concerning agency agreements.99
