‘‘Unrestricted Subsidiary’’ means:
(a) any Subsidiary of the Parent Guarantor that at the time of determination is an Unrestricted
Subsidiary (as designated by the Parent Guarantor’s board of directors pursuant to the
‘‘Designation of Unrestricted and Restricted Subsidiaries’’ covenant); and
(b) any Subsidiary of an Unrestricted Subsidiary.
‘‘Voting Stock’’ means any class or classes of Capital Stock pursuant to which the holders thereof
have the general voting power under ordinary circumstances to elect at least a majority of the board of
directors, managers or trustees (or Persons performing similar functions) of any Person (irrespective of
whether or not, at the time, stock of any other class or classes shall have, or might have, voting power
by reason of the happening of any contingency).
‘‘Wholly Owned Restricted Subsidiary’’ means any Restricted Subsidiary, all of the outstanding
Capital Stock (other than directors’ qualifying shares or shares of Restricted Subsidiaries required to be
owned by third parties pursuant to applicable law) of which are owned by the Parent Guarantor or by
one or more other Wholly Owned Restricted Subsidiaries or by the Parent Guarantor and one or more
other Wholly Owned Restricted Subsidiaries.
