<strong>Ardagh</strong>’s employees are represented by various trade unions and workers’ councils in the countries<br />

in which we operate. <strong>Ardagh</strong>’s management believes that, overall, its current relations with its<br />

employees are good.<br />

History and Development of the <strong>Ardagh</strong> <strong>Glass</strong> Group<br />

History. <strong>Ardagh</strong> was incorporated, as The <strong>Irish</strong> <strong>Glass</strong> Bottle Company, in Dublin in 1932. Until<br />

1999, <strong>Ardagh</strong> operated a single plant in Dublin with two furnaces. In 1999, <strong>Ardagh</strong> started its<br />

international expansion.<br />

Acquisition of Rockware <strong>Glass</strong>. In 1999, <strong>Ardagh</strong> acquired Rockware <strong>Glass</strong> Limited from O-I for a<br />

purchase price of £247 million. Rockware was renamed <strong>Ardagh</strong> <strong>Glass</strong> Ltd in 2007.<br />

Consumers <strong>Glass</strong>. In July 2002, <strong>Ardagh</strong> acquired Consumers <strong>Glass</strong> S.r.l., an Italian glass container<br />

manufacturer, for cash consideration of approximately A2.8 million plus assumed net debt of<br />

A13.4 million. The company was subsequently renamed Abruzzo Vetro S.r.l and was renamed <strong>Ardagh</strong><br />

<strong>Glass</strong> S.r.l in 2007.<br />

Demerger. In July 2002, South Wharf <strong>plc</strong>’s (formerly <strong>Ardagh</strong> <strong>plc</strong>’s) glass container manufacturing<br />

facility in Ireland was closed and the business in Ireland became primarily a property holding company.<br />

The U.K. and Italian glass container businesses were demerged and transferred to <strong>Ardagh</strong> <strong>Glass</strong><br />

Limited, a predecessor of <strong>Ardagh</strong> <strong>Glass</strong> Holdings Limited, in February 2003.<br />

Acquisition of Heye Holding. In March 2003, <strong>Ardagh</strong> acquired the glass container and technology<br />

and manufacturing businesses and assets of Hermann Heye KG for a total consideration of<br />

A35.5 million, consisting almost entirely of assumed debt. Heye Holding GmbH was renamed <strong>Ardagh</strong><br />

<strong>Glass</strong> Holding Gmbh in 2007.<br />

Acquisition of Huta Szkla Ujście. In September 2004, <strong>Ardagh</strong> acquired 82.4% of HSU, a Polish<br />

glass container manufacturer, for A8.0 million plus assumed net debt of A3.0 million. Between<br />

September 2004 and December 2006, <strong>Ardagh</strong> acquired the remaining 17.6% of the outstanding equity<br />

on terms similar to the original acquisition. HSU was renamed <strong>Ardagh</strong> <strong>Glass</strong> Ujście S.A. in 2007.<br />

Acquisition of <strong>Ardagh</strong> <strong>Glass</strong> Limited by <strong>Ardagh</strong> <strong>Glass</strong> Group <strong>plc</strong>. In February 2005, <strong>Ardagh</strong> <strong>Glass</strong><br />

Group <strong>plc</strong>, an <strong>Irish</strong> company (then named Caona <strong>plc</strong>), acquired 100% of the outstanding equity of<br />

<strong>Ardagh</strong> <strong>Glass</strong> Limited at a total cost of A53.3 million.<br />

Acquisition of Redfearn <strong>Glass</strong> Limited. In May 2005, <strong>Ardagh</strong> acquired Rexam <strong>Glass</strong> Barnsley<br />

Limited, the U.K. glass business of Rexam <strong>plc</strong>. The business was acquired for £50 million, comprising<br />

cash consideration and assumed debt. The business was renamed Redfearn <strong>Glass</strong> Limited.<br />

Group Reorganization. In August 2005, <strong>Ardagh</strong> <strong>Glass</strong> Holdings Limited acquired all of the share<br />

capital of <strong>Ardagh</strong> <strong>Glass</strong> Limited and through this acquisition became the new parent guarantor for the<br />

2003 Notes. <strong>Ardagh</strong> <strong>Glass</strong> Limited was subsequently liquidated.<br />

Acquisition of the <strong>Glass</strong> Division of Rexam <strong>plc</strong>. In June 2007, <strong>Ardagh</strong> acquired the glass container<br />

manufacturing business of Rexam <strong>plc</strong> for a consideration equal to its enterprise value of A657.0 million,<br />

less net debt. This acquisition expanded <strong>Ardagh</strong>’s holdings in Germany and Poland and allowed it enter<br />

new markets in the Nordic and Benelux regions. Following this acquisition all the existing trading units<br />

and active legal entities comprising the <strong>Ardagh</strong> glass container business were rebranded and renamed<br />

<strong>Ardagh</strong> <strong>Glass</strong>.<br />

Acquisition of Busch and Spreen. In December 2008, <strong>Ardagh</strong> <strong>Glass</strong> Engineering acquired 100% of<br />

the share capital of Busch & Spreen through its technology subsidiary, Heye International GmbH. The<br />

company, based in Nienburg, Germany, supplies cold end inspection equipment to the international<br />
