The <strong>Royal</strong> <strong>Botanic</strong> <strong>Gardens</strong> Board Victoria is a statutory authority established under<br />

the <strong>Royal</strong> <strong>Botanic</strong> <strong>Gardens</strong> Act 1991. The Board is responsible to the Minister for<br />

Environment and Climate Change for fulfilling its statutory requirements under the<br />

<strong>Royal</strong> <strong>Botanic</strong> <strong>Gardens</strong> Act 1991 and the <strong>Royal</strong> <strong>Botanic</strong> <strong>Gardens</strong> Regulations 2004.<br />

These make provision for the care, protection, management and improvement of<br />

RBG Melbourne and RBG Cranbourne, the Herbarium and ARCUE. Patron of the<br />

<strong>Royal</strong> <strong>Botanic</strong> <strong>Gardens</strong> is Dame Elisabeth Murdoch AC DBE. The responsible<br />

Ministers during the <strong>2010</strong>–11 reporting period were Gavin Jennings MLC, Minister<br />

for Environment and Climate Change for the period from 1 July <strong>2010</strong> to 1 Dece<strong>mb</strong>er<br />

<strong>2010</strong> and Ryan Smith MP, Minister for Environment and Climate Change for the<br />

period from 2 Dece<strong>mb</strong>er <strong>2010</strong> to 30 June <strong>2011</strong>.<br />

The Board comprises seven me<strong>mb</strong>ers, including a Chairman and a Deputy Chairman,<br />

who are appointed by the Governor-in-Council on the recommendation of the Minister.<br />

Appointed Board me<strong>mb</strong>ers have a diversity of knowledge and expertise in the fields<br />

of botany, horticulture, business management, public administration and nature<br />

conservation. The me<strong>mb</strong>ers are appointed for a term not exceeding four years,<br />

but are eligible for re-appointment. A quorum of the Board is four me<strong>mb</strong>ers.<br />

A me<strong>mb</strong>er of the Board who, either directly or indirectly, has a conflict of interest<br />

or duties, or a direct or pecuniary interest in any matter before the Board, must<br />

declare the nature of the interest or conflict at a meeting of the Board. The me<strong>mb</strong>er<br />

must not take any further part in the discussion or voting on the matter to which<br />

the declaration relates. The Board oversees the governance of the <strong>Royal</strong> <strong>Botanic</strong><br />

<strong>Gardens</strong> and may delegate its functions and powers to a committee of the Board,<br />

the Director and Chief Executive, any of the Board’s me<strong>mb</strong>ers, or any of its<br />

employees. The Director and Chief Executive has responsibility for the day-to-day<br />

management and control of the <strong>Royal</strong> <strong>Botanic</strong> <strong>Gardens</strong>.<br />

Board meetings are held at least nine times every year. The Director and Chief<br />

Executive attends every Board meeting and the Director, Corporate Resources is<br />

the Secretary to the Board. Directors attend at least one Board meeting each year to<br />

inform the Board of key issues and outputs relevant to their Division. This enhances<br />

the Board me<strong>mb</strong>ers’ knowledge of the <strong>Royal</strong> <strong>Botanic</strong> <strong>Gardens</strong> and its activities.<br />

The Board may also request external or independent advice on a particular matter.<br />
