We Provi<strong>de</strong> Remote Hosting Services That Involve Operating Both Our Software and the Software of Third-Party Vendors for Our Customers. The ability to<br />

access the systems and the data, including inventory, purchasing management, price updates and advisory services that we provi<strong>de</strong> to our customers, including data provi<strong>de</strong>d through<br />

our proprietary point-of sale system, www.farmaservicios.pdv, is critical to them. Our operations and facilities are vulnerable to interruption and/or damage from a number of sources,<br />

many of which are beyond our control, including, without limitation (i) power loss and telecommunications failures, (ii) fire, flood, hurricane and other natural disasters and (iii) software<br />

and hardware errors, failures or crashes. We attempt to mitigate these risks through various means including disaster recovery plans and test systems but our precautions may not<br />

protect against all problems. Any significant instances of system downtime could adversely affect our reputation and ability to sell our remote hosting services.<br />

The intrusion of unauthorized parties into our computer systems, as well as any other interruption or cyber-attack could jeapordize the confi<strong>de</strong>ntiality of our<br />

information and the continuity of our processes.<br />

<strong>Grupo</strong> <strong>Casa</strong> <strong>Saba</strong> and its subsidiaries collect and store highly sensitive information within servers and private networks, such as: (i) business information, (ii)<br />

intellectual property rights (unpublished), (iii) information of our customers and suppliers, and (iv) personal information of our employees and executives. The processes related to the<br />

transmission, maintenance and security of this information are critical for our transactions and business strategies. Regardless the security measures adopted by <strong>Grupo</strong> <strong>Casa</strong> <strong>Saba</strong> and<br />

its subsidiaries, our information and technological infrastructure may be exposed to cyber-attacks, failures caused by errors performed by our employees, or any other unauthorized<br />

intrusion into our technological infrastructure.<br />

Any attack or failure in our systems, could jeopardize the information that we store and expose it to theft or losses, which could result in lawsuits and legal<br />

proceedings against <strong>Grupo</strong> <strong>Casa</strong> <strong>Saba</strong> and / or any of its subsidiaries, due to the violation of confi<strong>de</strong>ntiality agreements executed with our customers, suppliers, employees or business<br />

partners, in addition to the reputational damage that the Company could suffer. This could adversely affect our operations and our market position.<br />

Our Results of Operation May be Negatively Affected if We are Unable to Operate our Retail Pharmacy Business Efficiently. A portion of our future operations<br />

and cash flow will <strong>de</strong>pend upon our ability to operate our retail pharmacy business efficiently, achieve the strategic operating objectives for our business and realize significant cost<br />

savings and synergies. Our management team may encounter unforeseen difficulties in managing the integration of the retail pharmacy business. The retail pharmacy business entails<br />

different risks, strategies and mo<strong>de</strong>ls to which our management must adapt. Any substantial diversion of management’s attention or any difficulties in operating the retail pharmacy<br />

business together with the distribution business could affect our sales and ability to achieve operational, financial and strategic objectives.<br />

Our Retail Pharmacy Business is Subject to Additional Risks That May Impe<strong>de</strong> Our Desired Growth Plan. Our ability to grow our retail pharmacy business may be<br />

constrained if suitable new store locations cannot be i<strong>de</strong>ntified with lease terms or purchase prices that are acceptable to us. We compete with other retailers and businesses for suitable<br />

locations for our stores. Local land use and other regulations applicable to the types of stores we may seek to lease or construct could impact our ability to find suitable locations and<br />

influence the cost of leasing, constructing and refurbishing our pharmacies. The expiration of leases at existing store locations may adversely affect us if the renewal terms of those<br />

leases are unacceptable to us and we are forced to close or relocate stores. Further, changing local <strong>de</strong>mographics at existing store locations may adversely affect revenue and<br />

profitability levels at those stores.<br />

Our retail pharmacy sales and profit margins are affected by the introduction of new brand name and generic drugs. New brand name drugs can result in increased<br />

drug utilization and associated sales revenues, while the introduction of lower priced generic alternatives typically result in higher gross profit margins. Accordingly, a <strong>de</strong>crease in the<br />

number of significant new drugs or generics successfully introduced could adversely affect our results of operation.<br />
