All related party transactions we engage in are submitted in advance to the Audit and Corporate Practices Committee, and are subject to thorough evaluation, which<br />

results in the <strong>de</strong>termination of the terms and conditions un<strong>de</strong>r which the transactions shall be carried out. During this evaluation period, the Audit and Corporate Practices Committee<br />

makes relevant market research and obtains quotations from several different non-related parties that ren<strong>de</strong>r the exact or similar services to those inten<strong>de</strong>d to be performed by the related<br />

party with which the transaction is inten<strong>de</strong>d to be conducted. Once the research is conclu<strong>de</strong>d, the Audit and Corporate Practices Committee prepares the gui<strong>de</strong>lines that must be<br />

observed in establishing the terms of the related party transactions and submits its evaluation to the Board of Directors and to our sharehol<strong>de</strong>rs. This procedure enables the Company<br />

to obtain objective information as to competitive market prices and conditions and, therefore, guarantees that the transactions entered with related parties are at all times entered into on<br />

an arm’s-length basis.<br />

Principal Transactions and Arrangements with Affiliates and Related Parties of Our Directors, Officers and Principal Sharehol<strong>de</strong>rs Effective During <strong>20</strong>11<br />

Leases. In <strong>20</strong>01, we entered into a lease for office space with Xtra Inmuebles, S.A. <strong>de</strong> C.V., an entity owned and controlled by our controlling sharehol<strong>de</strong>r. During<br />

<strong>20</strong>11, we maintained our lease for office space with Xtra Inmuebles and do not have plans to terminate this agreement. In <strong>20</strong>11, we expensed Ps. 5.5 million as compared to Ps. 5.2 million<br />

in <strong>20</strong>10 and Ps. 4.3 million in <strong>20</strong>09 with respect to this lease. In <strong>20</strong>08, we entered into a lease for storage space with Xtra Inmuebles, S.A. <strong>de</strong> C.V., a company that is also owned and<br />

controlled by our controlling sharehol<strong>de</strong>r. In <strong>20</strong>11, we expensed Ps. 1.5 million compared to Ps. 0.4 million in <strong>20</strong>10 and Ps. 1.2 million in <strong>20</strong>09. We believe that both leases were entered<br />

into in the ordinary course of business, were ma<strong>de</strong> on an arm’s-length basis and are on terms no less favorable than those that could have been obtained from unaffiliated third parties.<br />

Services. In <strong>20</strong>02, one of our subsidiaries, Servicios Corporativos <strong>Casa</strong> <strong>Saba</strong>, S.A. <strong>de</strong> C.V., entered into an air transport service agreement with Aero Xtra, S.A. <strong>de</strong> C.V.<br />

an entity indirectly owned and controlled by our controlling sharehol<strong>de</strong>r. Services pursuant to this agreement were also provi<strong>de</strong>d to us in <strong>20</strong>09, <strong>20</strong>10 and <strong>20</strong>11. During <strong>20</strong>11, we<br />

expensed a total amount of Ps. 28.0 million as compared to Ps. 18.0 million in <strong>20</strong>10 and Ps. 17.7 million in <strong>20</strong>09 related to the services ren<strong>de</strong>red by Aero Xtra, S.A. <strong>de</strong> C.V. This contract<br />

was entered into in the ordinary course of business, and was ma<strong>de</strong> on an arm’s-length basis on terms no less favorable than those that could have been obtained from unaffiliated third<br />

parties.<br />

As of December 31, <strong>20</strong>09, <strong>20</strong>10 and <strong>20</strong>11, the receivable balances from Aero Xtra, S.A. <strong>de</strong> C.V. were Ps. 4.5 million, Ps. 0 and Ps. 2.0 million, respectively. For Xtra<br />

Inmuebles, S.A. <strong>de</strong> C.V., they were Ps. 0, Ps. 0 and Ps. 11.6 million, respectively. The receivable balance from Aero Xtra, S.A. <strong>de</strong> C.V. and Xtra Inmuebles, S.A. <strong>de</strong> C.V. represented<br />

prepaid flight services and the leasing of real estate, respectively. In addition, we had receivable balances from Tenedora Farmacéutica <strong>de</strong> México, S.A. <strong>de</strong> C.V. in the amount of Ps. 9.6<br />

million in <strong>20</strong>09, <strong>20</strong>10 and in <strong>20</strong>11. The account receivable balances from Tenedora <strong>de</strong> Farmacias Morelianas, S.A. <strong>de</strong> C.V. were Ps. 18.6 million in <strong>20</strong>09, Ps. <strong>20</strong>.6 million in <strong>20</strong>10 and and Ps.<br />

<strong>20</strong>.6 million in <strong>20</strong>11. In <strong>20</strong>11, our accounts receivable balances from <strong>Grupo</strong> Xtra were Ps. 10.5 million compared to Ps. 11.6 million in <strong>20</strong>10 and Ps. 8.6 million in <strong>20</strong>09. The receivables<br />

balances from Sports Clinic totaled Ps. 0 in <strong>20</strong>11 compared to Ps. 6.7 in <strong>20</strong>10 and Ps. 0 in <strong>20</strong>09. As of December 31, <strong>20</strong>09, <strong>20</strong>10 and <strong>20</strong>11, the receivable balances from Comercializadora<br />

Lun<strong>de</strong><strong>de</strong>q, S.A. <strong>de</strong> C.V. were Ps. 0, Ps. 0.1 million and Ps. 0, respectively while those from Farmaprice, S.A. <strong>de</strong> C.V. were Ps. 0 in <strong>20</strong>09, Ps. 0.1 million in <strong>20</strong>10 and Ps. 0 in <strong>20</strong>11. Finally, the<br />

receivable balances from Adminstradora Inmas, S.A. <strong>de</strong> C.V. were Ps. 0 in <strong>20</strong>09, Ps. 0.3 million in <strong>20</strong>10 and Ps. 0 in <strong>20</strong>11.<br />

respectively.<br />

As of December 31, <strong>20</strong>09, <strong>20</strong>10 and <strong>20</strong>11, the accounts payable balances with Administradora Inmas, S.A. <strong>de</strong> C.V. were Ps. 0.4 million, Ps. 0 and Ps. 0 million,<br />
