MANAGEMENT’S ANNUAL REPORT ON INTERNAL CONTROL<br />

OVER FINANCIAL REPORTING<br />

Our management is responsible for establishing and maintaining an a<strong>de</strong>quate system of internal control over financial reporting, as such term is <strong>de</strong>fined in Rule 13a-15(f) un<strong>de</strong>r<br />

the Securities Exchange Act of 1934, as amen<strong>de</strong>d. Un<strong>de</strong>r the supervision and with the participation of our management, including our principal executive officer and principal financial<br />

officer, we conducted an evaluation of the effectiveness of our internal control over financial reporting based on the framework in Internal Control-Integrated Framework issued by<br />

the Committee of Sponsoring Organizations of the Treadway Commission (COSO).<br />

Internal control over financial reporting is a process <strong>de</strong>signed to provi<strong>de</strong> reasonable assurance regarding the reliability of financial reporting and the preparation of financial<br />

statements for external purposes in accordance with financial reporting standards. Internal control over financial reporting inclu<strong>de</strong>s those policies and procedures that (i) pertain to the<br />

maintenance of records that, in reasonable <strong>de</strong>tail, accurately and fairly reflect the transactions and dispositions of the assets; (ii) provi<strong>de</strong> reasonable assurance that transactions are<br />

recor<strong>de</strong>d as necessary to permit the preparation of financial statements in accordance with financial reporting standards, and that receipts and expenditures are being ma<strong>de</strong> only in<br />

accordance with the authorization of management and the directors; and (iii) provi<strong>de</strong> reasonable assurance regarding prevention or timely <strong>de</strong>tection of unauthorized acquisition, use, or<br />

disposition of the assets that could have a material effect on the financial statements.<br />

Because of its inherent limitations, internal control over financial reporting is not inten<strong>de</strong>d to provi<strong>de</strong> absolute assurance that misstatement of our financial statements would<br />

be prevented or <strong>de</strong>tected. Also, projections of any evaluation of effectiveness to future periods are subject to the risk that controls may become ina<strong>de</strong>quate because of changes in<br />

conditions, or that the <strong>de</strong>gree of compliance with the policies or procedures may <strong>de</strong>teriorate. Based on our evaluation un<strong>de</strong>r the framework in Internal Control-Integrated Framework,<br />

our management has i<strong>de</strong>ntified a material weakness in our internal control over financial reporting for the period ending December 31, <strong>20</strong>11.<br />

We have i<strong>de</strong>ntified that our subsidiary CSB Drogarias, S.A., has not maintained a<strong>de</strong>quate accounting records in connection with the caption inventories for the period January<br />

1 through December 31, <strong>20</strong>11. Furthermore, there is a lack of controls related to assessing certain contingencies.<br />

Management’s assessment of the effectiveness of the Company’s internal control over financial reporting as of December 31, <strong>20</strong>11 has been audited by Salles Sainz-Grant<br />

Thornton, S.C., an in<strong>de</strong>pen<strong>de</strong>nt registered public accounting firm, as stated in its report, which can be found on page F-2 of Item 18.<br />
