Shareholders' Assembly Board for supervision ofbusiness activities and the reporting procedure(from 25/06/2012)With the adoption of the new NIS Statute on25/06/2012, the Shareholders' Assembly Board for supervisionof business activities and the reporting procedurewas established, operating as supervisory and expertbody of NIS j.s.c. Novi Sad Shareholders' Assembly,assisting with its activities and analysing matters withinits scope of activities. Members of the Shareholders' AssemblyBoard report to the Shareholders' Assembly.In accordance with duties defined in the Statute, theShareholders' Assembly Board for supervision of businessactivities and the reporting procedure passes opinionson the following matters: reporting to Shareholders'Assembly on the application accounting and financialreporting practices in the Company and its subsidiaries;reporting to Shareholders' Assembly on accuracy andcompleteness of reports on major issues; proposedmethods of profit sharing and other forms of payment tothe Company's shareholders; procedures in independentaudit of Company financial reports; activities of internalaudit and evaluation of internal audit; proposals for establishmentand dissolution of subsidiaries and branchoffices; proposals for purchase and sales of Company'sshares in other companies; evaluation of activities regardingremarks made by Company shareholders.The following members were appointed to theShareholders' Assembly Board for supervision ofbusiness activities and the reporting procedure atthe IV Regular Shareholders' Assembly on 25 June2012:• Milivoje Cvetanović (chairman),• Božo Stanišić (member)• Alexey AlexandrovichUrusov (member)Milivoje CvetanovićBorn on 1 December 1941. He graduated from the Faculty of Economics, Universityof Belgrade in 1963, where he received his master's diploma in 1973 as well.Authorized auditor. Retired partner at Deloitte Central Europe. After his retirementfrom the partnership, he now works as a consultant for application of MSFI, creationand implementation of client information systems, including internal controlsystems. Member of the Chamber of Authorized Auditors of Republic of Serbia, anda member of the testing committee for "Audit and Professional Ethics" course inthe authorized auditor certificate programme. Internal auditor in Dipos d.o.o. Belgradeand authorized auditor in NDP Audit & Consulting, Belgrade. He has a vastwork experience in Central and Eastern Europe: in Russia, Ukraine, Moldavia andMacedonia.Božo Stanišić18 February 1966 in Užice. He graduated from the Technological Operation Departmentat the Technological and Metallurgy Faculty. He worked in Rekord, Rakovica,and Pančevo Oil Refinery as Chief Gasoline Engineer. In 1999 he was responsiblefor infrastructural construction at the Refinery as the Director of Sector forCommercial Affairs. Member and coordinator of various committees. Board memberin HIP Petrohemija, Pančevo, and Board member responsible for applicationof government measures in Magnohrom, Kraljevo. From 01/ 11/ 2006 to 30/ 09/2009 he works at a privately-owned Petrobart d.o.o. as Deputy CEO. From 12/ 10/2009 he is appointed as the advisor of the Chairman of the Chamber of Commerceof Republic of Serbia. Currently he is employed at Silikoni l.l.c. Baric as technicaldirector.Alexey Alexandrovich UrusovDirector of Economics and Corporate Planning Department in JSC Gazprom NeftBorn on 17 November 1974 He graduated from the Tyumen State Oil and GasUniversity (major in finance and loans) and the University of Wolver Hampton in theUnited Kingdom (major in business administration)From 2006 to 2008 He worked as executive deputy chairman for planning andbusiness management in the Integra Group. From 2002 to 2006 he worked in TNK-BP as CFO in TNK-BP Ukraine.
