who will use the jet <strong>for</strong> executive business travel, and the contract specifies that it is<br />

governed by the “Texas Business and Commerce Code” (which contains the UCC,<br />

among other provisions).<br />

f. Same facts as the previous problem, except that the contract is silent as to<br />

what law applies.<br />

g. Broker in New York contracts to sell 1,000 shares of a technology stock to<br />

Investor in Israel.<br />

h. Construction <strong>Contract</strong>or in Argentina contracts to build a track-and-field<br />

stadium in Brazil.<br />

i. Buyer, a corporate president in Poland, purchases two identical antique<br />

desks from Dealer in Vermont. Buyer plans to use one of the desks in her office and<br />

the other as a decoration in her living room at home.<br />

j. Buyer in Toronto purchases 10,000 bushels of soybeans from seller in Omaha<br />

through an exchange of <strong>for</strong>ms. Buyer’s <strong>for</strong>m specifies the contract will be governed<br />

by the Ontario Sale of Goods Act; Seller’s <strong>for</strong>m specifies the Nebraska UCC.<br />

Treaty Text Note. Read Articles 10, 11, 12, and 96 of the CISG, which are<br />

excerpted below, be<strong>for</strong>e you read the Asante Technologies case that follows.<br />

CISG Article 10<br />

For the purposes of this Convention:<br />

(a) if a party has more than one place of business, the place of business is that<br />

which has the closest relationship to the contract and its per<strong>for</strong>mance, having regard<br />

to the circumstances known to or contemplated by the parties at any time be<strong>for</strong>e or<br />

at the conclusion of the contract;<br />

(b) if a party does not have a place of business, reference is to be made to his<br />

habitual residence.<br />

CISG Article 11<br />

A contract of sale need not be concluded in or evidenced by writing and is not<br />

subject to any other requirement as to <strong>for</strong>m. It may be proved by any means, including<br />

witnesses.<br />

CISG Article 12<br />

Any provision of article 11, article 29 or Part II of this Convention that allows<br />
