breach of contract claim.<br />

Enter the Outsiders. Privity is still a basic principle of contract law, but there<br />

are two very important areas where nonparties do have the right to bring actions in<br />

their own name. One area involves the concept of assignment and delegation, where<br />

parties transfer their rights and obligations to others, effectively allowing new parties<br />

to be substituted <strong>for</strong> original parties. The second area is the doctrine of third party<br />

beneficiaries, in which the original contracting parties remain, but en<strong>for</strong>ceable rights<br />

have been created <strong>for</strong> nonparties. These concepts are the subjects of the next two<br />

units.<br />
