§ 13 Anwendbares

Recht und Gerichts § 13 Final Conditions
(a) Anwendbares Recht (a) Governing Law
Die Schuldverschreibungen unterliegen
deutschem Recht und sind entsprechend
auszulegen. Die Garantie unterliegt dem Recht
von New York.
(b) Gerichtsstand (b) Jurisdiction
Das Landgericht Frankfurt am Main ist
Gerichtsstand für alle aufgrund von oder in
Zusammenhang mit Schuldverschreibungen
entstehenden Streitigkeiten; entsprechend ist
für jegliche aufgrund von oder in
Zusammenhang mit Schuldverschreibungen
etwa zu erhebende Klagen sowie
anzustrengende Verfahren (die "Verfahren")
der Rechtsweg zu diesem Gericht eröffnet. Die
Emittentin und die Garantin unterwerfen sich
beide unwiderruflich der Gerichtsbarkeit des
Landgerichts Frankfurt am Main und
verzichten insoweit auf den Einwand der
Unzuständigkeit und den Einwand, dass ein
Verfahren vor einem unangebrachten Gericht
anhängig gemacht worden sei (Forum non
conveniens). Diese Unterwerfung erfolgt
zugunsten eines jeden Anleihegläubigers;
weder beschränkt sie diesen in seinem Recht,
ein Verfahren vor einem jeglichen anderen
zuständigen Gericht anhängig zu machen, noch
schließt ein in einer oder mehreren
Rechtsordnungen anhängiges Verfahren ein
Verfahren in einer anderen Rechtsordnung (ob
zeitgleich oder nicht) aus.
(c) Zustellungen (c) Service of Process
Die Emittentin und die Garantin bestellen den
Leiter der Rechtsabteilung der J.P. Morgan AG,
Börsenstrasse 2-4, 60313 Frankfurt am Main,
zu ihren Zustellungsbevollmächtigten in
Deutschland für sämtliche dort anhängigen
Verfahren. Die Zustellung gilt mit Zugang bei
dem betreffenden Zustellungsbevollmächtigten
als erfolgt (ungeachtet dessen, ob sie an die
Emittentin und die Garantin weitergeleitet
wurde und diese sie erhalten haben). Die

The District Court (Landgericht) of Frankfurt
am Main is to have jurisdiction to settle any
disputes that may arise out of or in connection
with any Notes and accordingly any legal
action or proceedings arising out of or in
connection with any Notes ("Proceedings")
may be brought in such court. Each of the
Issuer and the Guarantor irrevocably submits
to the jurisdiction of the District Court
(Landgericht) of Frankfurt am Main and
waives any objection to Proceedings in such
court on the ground of venue or on the ground
that the Proceedings have been brought in an
inconvenient forum. These submissions are
made for the benefit of each of the holders of
the Notes and shall not affect the right of any
of them to take Proceedings in any other court
of competent jurisdiction nor shall the taking
of Proceedings in one or more jurisdictions
preclude the taking of Proceedings in any other
jurisdiction (whether concurrently or not).
The Issuer and the Guarantor appoint the Head
of the Legal Department of J.P. Morgan AG,
Börsenstrasse 2-4, 60313 Frankfurt am Main,
Germany as their agent in Germany to receive,
for them and on their behalf, service of process
in any Proceedings in Germany. Such service
shall be deemed completed on delivery to the
relevant process agent (whether or not, it is
forwarded to and received by the Issuer or the
