Trading Day in respect of that Index, the relevant next following
Scheduled Trading Day).
"Valuation Date" means in respect of the Index, the Initial Valuation
Date, each Valuation Datei and the Final Valuation Date.
Early Redemption The Notes may be early redeemed following certain events set out in § 4
and § 8 of the Terms and Conditions.
In such case the Early Redemption Amount per Note may be less than the
Issue Price, and may be less than the Specified Denomination or the
nominal amount (as reduced by any instalment paid, if any) per Note.
Status of the Notes The Notes will constitute unsubordinated and unsecured obligations of the
Issuer.
Guarantee The Notes will be guaranteed by the Guarantor, JPMCB.
Negative Pledge/Cross Default The Notes will not contain a negative pledge or a cross default provision.
Rating The Notes are unrated.
Withholding Tax All payments of principal of and interest, if any, on the Notes will be made
without deduction or withholding for or on account of any present or future
tax, assessment or other governmental charge, of whatever nature, imposed
or levied by or within Jersey or the United States or by or within any
political subdivision or taxing authority thereof or therein, except as
required by law. In that case, the Issuer or the Guarantor will, subject to
certain limitations and exceptions set forth in the Terms and Conditions,
pay to a Noteholder who is a United States Alien (in the case of United
States-related taxes) or a person who is not a Jersey Tax Resident (in the
case of Jersey taxes), such additional amounts as may be necessary so that
every net payment by the Issuer or the Guarantor or any of their Paying
Agents of principal or interest with respect to the Notes after deduction or
withholding for or on account of any present or future tax, assessment or
other governmental charge imposed upon such Noteholder, or as a result of
such payment of tax imposed or levied by or within the United States or
Jersey (or any political subdivision or taxing authority thereof or therein)
will not be less than the amount provided for in such Notes to be then due
and payable.
Governing Law The Notes are governed by the laws of the Federal Republic of Germany.
The Guarantee is governed by New York State law.
Listing and admission to
trading
The Notes will not be listed. Application will be made for the Notes to be
traded on the open market (Freiverkehr) of the Stuttgart Stock Exchange
(Euwax) and application will be made for the Notes to be traded on the
open market (Freiverkehr) of the Frankfurt Stock Exchange. No
assurances can be given that such application will be approved (or if
approved, will be approved on or before the Issue Date).
