U.S. Federal Deposit Insurance Corporation ("FDIC"). Such Call Reports have a st<strong>and</strong>ard format approved by<br />
the FDIC <strong>and</strong> include the balance sheet <strong>and</strong> profit <strong>and</strong> loss accounts. Incorporated by reference into the <strong>JPM</strong>CB<br />
Registration Document are <strong>JPM</strong>CB's consolidated balance sheet as at 30 June 2006, 30 September 2006, 31<br />
December 2006 <strong>and</strong> 31 March 2007, 30 June 2007 <strong>and</strong> 30 September 2007 <strong>and</strong> the consolidated profit <strong>and</strong> loss<br />
account as at 31 December 2005 <strong>and</strong> 31 December 2006 registered by <strong>JPM</strong>CB with the FDIC in the format<br />

Call Reports are prepared in accordance with regulatory instructions issued by the U.S. Federal Financial<br />
Institutions Examinations Council. Because of the special supervisory, regulatory <strong>and</strong> economic policy needs<br />
served by Call Reports, such regulatory instructions do not in all cases follow generally accepted accounting<br />
principles or the opinions <strong>and</strong> statements of the Accounting Principles Board or the Financial Accounting<br />
