Mr. Parvez Umrigar, is a B. Com., AICWA, FCA. He has wide experience of over 17 years in areas like strategic<br />

planning, finance, accounts, taxation and compliance. Presently Mr. Umrigar is the managing director of Gammon<br />

Infrastructure Projects Limited, a listed subsidiary of the Company. Mr. Parvez Umrigar was appointed Director<br />

w.e.f June 1, 2009.<br />

Mr. Atul Kumar Shukla holds a degree of masters in science. He has vast experience in the field of general<br />

management, marketing management and management consultancy. He has served as the chairman of Life<br />

Insurance Corporation of India. Presently, he is a management consultant and is a director on the boards of various<br />

companies. Mr. Shukla was appointed as Director w.e.f July 9, 2009.<br />

Borrowing Powers of the Directors<br />

Pursuant to a shareholders‘ resolution dated October 14, 2009, the Board has been authorised to borrow monies from<br />

time to time from any one or more banks, financial institutions and other persons, firms, body corporates,<br />

notwithstanding that the monies to be borrowed together with the monies already borrowed by the Company (apart<br />

from the temporary loans obtained by the Company from the Company‘s bankers in the ordinary course of business)<br />

may exceed the aggregate of the paid up capital of the Company and its free reserves provided that the total monies<br />

borrowed and outstanding at any time shall not exceed Rupees 50,000,000,000 (Rupees 50 billion).<br />

Interests of Directors of the Company<br />

All of the Directors may be deemed to be interested to the extent of fees payable to them for attending Board or<br />

Board committee meetings as well as to the extent of other remuneration and reimbursement of expenses payable to<br />

them. The executive Directors also may be deemed interested to the extent of remuneration paid to them for services<br />

rendered as officers or employees of the Company.<br />

All of the Directors may also be regarded as interested in any Equity Shares and stock options held by them and also<br />

to the extent of any dividend payable to them and other distributions in respect of the Equity Shares. All Directors<br />

may also be regarded as interested in the Equity Shares held by, or subscribed by and allotted to, the companies,<br />

firms and trust, in which they are interested as directors, members, partners, trustees.<br />

All of the Directors may be deemed to be interested in the contracts, agreements or arrangements entered into or to<br />

be entered into by the Company with any company in which they hold directorships or any partnership firm in which<br />

they are partners. Except as otherwise stated in this Preliminary Placement Document and the statutory registers of<br />

the Company, the Company has not entered into any contracts, agreements or arrangements during the preceding<br />

two years from the date of this Preliminary Placement Document in which any of the directors are interested directly<br />

or indirectly, and no payments have been made to them in respect of any such contracts, agreements, arrangements<br />

which are proposed to be made with them. The directors have not taken any loans from the Company.<br />
