Mr. Himanshu Parikh<br />

Pursuant to a shareholders‘ resolution dated September 25, 2008, Himanshu Parikh was appointed as an executive<br />

Director for a period of five years w.e.f May 1, 2008. The remuneration payable to Mr. Parikh is in the scale of Rs.<br />

300,000 per month to Rs. 1,000,000 per month with authority to the Board to fix the salary within the scale from<br />

time to time. The increment within the scale will be merit based and take into account the Company‘s performance.<br />

In addition, he is entitled to an amount by way of commission, payable annually in addition to the salary calculated<br />

with reference to the net profits of the Company in a particular financial year at the absolute discretion of and as<br />

may be determined by the Board at the end of each financial year.<br />

Further, he is also entitled to perquisites like furnished / unfurnished accommodation or house rent allowance, gas,<br />

electricity, water, medical re-imbursement and leave travel concession for self and family, club fees, personal<br />

accident insurance and other benefits in accordance with the rules of the Company.<br />

Mr. Rajul Bhansali<br />

Pursuant to a shareholders‘ resolution dated October 14, 2009, Rajul Bhansali was re-appointed as a whole-time<br />

Director designated as Executive Director-International Operations for a period of three years w.e.f March 30, 2009.<br />

The remuneration of Mr. Bhansali is in the scale of Rs. 200,000 per month to Rs. 1,000,000 per month with<br />

authority to the Board to fix the salary within the scale from time to time. The increment within the scale will be<br />

merit based and take into account the Company‘s performance. In addition, he is entitled to an amount by way of<br />

commission, payable annually in addition to the salary calculated with reference to the net profits of the Company in<br />

a particular financial year at the absolute discretion of and as may be determined by the Board at the end of each<br />

financial year.<br />

Further, he is also entitled to perquisites like furnished / unfurnished accommodation or house rent allowance, gas,<br />

Mr. Digambar Bagde<br />

Pursuant to a shareholders‘ resolution dated October 14, 2009, Digambar Bagde was appointed as a whole-time<br />

Director designated as executive Director and CEO (T&D) business for a period of three years w.e.f July 9, 2009.<br />

The remuneration of Mr. Bagde is in the scale of Rs. 300,000 per month to Rs. 1,000,000 per month with authority<br />

to the Board to fix the salary within the scale from time to time. The increment within the scale will be merit based<br />

and take into account the Company‘s performance. In addition, he is entitled to an amount by way of commission,<br />

payable annually in addition to the salary calculated with reference to the net profits of the Company in a particular<br />

financial year at the absolute discretion of and as may be determined by the Board at the end of each financial year.<br />
