(2) No Chapter may designate more than four Chapter delegates;<br />

(3) Each Chapter may adopt its own method <strong>of</strong> designating its Chapter<br />

delegates, but shall give notice to the Nominating Committee <strong>of</strong> such<br />

designation, under the provisions <strong>of</strong> 10.2.<br />

(4) Each Chapter delegate shall serve three years, except that in the case<br />

<strong>of</strong> the initial term <strong>of</strong> a new Chapter delegate, the Board shall designate<br />

whether the initial term <strong>of</strong> a new Chapter delegate will be for one, two or<br />

three years, in order to provide that approximately one-third <strong>of</strong> the terms <strong>of</strong><br />

the Chapter delegates expire each year;<br />

(5) The Chapter may fill vacancies in the position <strong>of</strong> Chapter delegate<br />

which have occurred as a result <strong>of</strong> election to another position, death,<br />

disqualification, disability, absence or resignation pursuant to Chapter rules<br />

and regulations adopted and approved pursuant to 2.3 b above.<br />

Following a recommendation <strong>of</strong> the Board <strong>of</strong> Review for the discipline <strong>of</strong> a<br />

Chapter, as provided for in 8.2, the Board shall meet in closed session and hold<br />

a confidential review <strong>of</strong> the transcript <strong>of</strong> hearing, if any, and <strong>of</strong> any documentary<br />

evidence presented to the Board <strong>of</strong> Review, and may then terminate, suspend,<br />

or otherwise discipline a Chapter for:<br />

(1) failure to comply with 2.6;<br />

(2) conduct deemed injurious to the good order, peace, reputation or best<br />

interests <strong>of</strong> the legal pr<strong>of</strong>ession or the <strong>Academy</strong>;<br />

(3) any other good cause which the Board deems sufficient.<br />

Any decision by the Board in relation to a recommendation <strong>of</strong> the Board <strong>of</strong><br />

Fellows for discipline <strong>of</strong> a Chapter must be by affirmative vote <strong>of</strong> at least twothirds<br />

<strong>of</strong> the members <strong>of</strong> the Board present.<br />

During any period <strong>of</strong> suspension imposed as a matter <strong>of</strong> discipline, the Chapter<br />

delegate or delegates will be removed and the Chapter may not conduct any<br />

Chapter business.<br />

3.1 MEETINGS OF THE FELLOWS<br />

The <strong>Academy</strong> shall hold an annual meeting <strong>of</strong> the Fellows in each calendar year. The<br />

<strong>Academy</strong> may, throughout the year, hold other meetings <strong>of</strong> the Fellows.<br />

3.2 QUORUM<br />

One-third <strong>of</strong> the Fellows registered for attendance at any meetings shall constitute a<br />

quorum for the transaction <strong>of</strong> business at the meeting. Less than a quorum shall<br />

adjourn the meeting to another time or date.<br />
