3.3 CONTROLLING VOTE<br />

Decisions <strong>of</strong> the Fellows shall be by majority vote <strong>of</strong> the eligible Fellows present for<br />

the vote. The chair <strong>of</strong> the meeting shall be entitled to vote.<br />

3.4 VOTING ELIGIBILITY<br />

Only Fellows whose good standing can be certified by the <strong>Academy</strong> records for<br />

thirty days before a vote are eligible to vote.<br />

Voting must be in person. Neither cumulative nor bullet voting shall be<br />

permitted.<br />

3.5 AGENDA OF THE ANNUAL MEETING OF THE FELLOWS<br />

The business transacted at the annual meeting <strong>of</strong> the Fellowship shall include:<br />

d<br />

e<br />

The election <strong>of</strong>:<br />

(1) two <strong>of</strong> six Governors at Large each <strong>of</strong> whom shall serve a term <strong>of</strong> three<br />

years, pursuant to 4.2 c;<br />

(2) as required, a Fellow to fill any unexpired term <strong>of</strong> a Governor-at-Large<br />

or a Governor not designated by a Chapter.<br />

In the event that only one Fellow is nominated for any position to be filled,<br />

election shall be by one vote cast by the Secretary, or in the event <strong>of</strong> the<br />

absence <strong>of</strong> the Secretary, by an acting Secretary designated by the President.<br />

Each contested position shall be voted upon by written ballot. Election shall be<br />

by a majority <strong>of</strong> the votes cast; and if a majority vote is not initially obtained, run<strong>of</strong>f<br />

elections shall immediately be held, with the candidate receiving the fewest<br />

votes on the prior ballot being eliminated from the ballot, until one receives a<br />

majority. In the event <strong>of</strong> a tie on the last ballot, the incumbent Board shall meet<br />

to vote on the candidates who were tied, with the candidate receiving a majority<br />

<strong>of</strong> votes <strong>of</strong> the Board to be deemed elected;<br />

A report by the Board to the Fellows on the activities <strong>of</strong> the <strong>Academy</strong>; the Board<br />

may delegate this task to the President <strong>of</strong> the <strong>Academy</strong> (hereafter the<br />

President);<br />

A report by the Treasurer to the Fellows on the financial condition <strong>of</strong> the<br />

<strong>Academy</strong>;<br />

Such other business:<br />

(1) as decided by the Board or President; or<br />

(2) as the Board or President considers may properly come before the<br />

meeting;<br />

Any item may be placed on the agenda by a petition which is:<br />

3.6 SPECIAL MEETINGS<br />

a<br />

(1) signed by fifteen Fellows; and<br />

(2) received by the Secretary at least forty-five days before the meeting.<br />

A special meeting <strong>of</strong> the Fellows shall be called by the President:<br />

(1) when so directed by the Board; or<br />
