(1) The President, with the advice and consent <strong>of</strong> the Board, shall appoint<br />

an Executive Director <strong>of</strong> the <strong>Academy</strong>. The Executive Committee shall<br />

determine the Executive Director's salary, benefits and term <strong>of</strong><br />

employment.<br />

(2) The Executive Director shall:<br />

(i)<br />

be the principal administrative <strong>of</strong>ficer <strong>of</strong> the <strong>Academy</strong> and, as such,<br />

responsible for running the day-to-day activities <strong>of</strong> the <strong>Academy</strong>, for<br />

making all necessary and appropriate plans and arrangements for<br />

meetings <strong>of</strong> the Fellows, Board and Executive Committee and for<br />

implementing the directions <strong>of</strong> the President and the Board;<br />

be responsible for the retention and maintenance <strong>of</strong> papers,<br />

documents and other property pertaining to the work <strong>of</strong> the <strong>Academy</strong>;<br />

(iii) if invited by the President, save for good reason, attend all meetings<br />

<strong>of</strong> the Fellows, Board and Executive Committee; and<br />

(iv) prepare an annual budget under the direction and supervision <strong>of</strong> the<br />

President and/or President-Elect as appropriate pursuant to sections<br />

6.2 h and 6.3 e.<br />

(3) The Executive Director may be a Fellow but, if so, while serving, may<br />

hold no other <strong>of</strong>fice.<br />

Parliamentarian<br />

(1) The President may appoint another Fellow to serve as Parliamentarian.<br />

(2) The Parliamentarian shall, save for good reason, assist and advise the<br />

President and shall attend all Board meetings and may attend, at the<br />

request <strong>of</strong> the President, Executive Committee meetings.<br />

5.3 PRESIDENT<br />

The President-Elect, unless the President-Elect resigns or becomes disqualified or<br />

disabled from acting, shall automatically become President, serve a term <strong>of</strong> two years<br />

and may not again succeed to the <strong>of</strong>fice <strong>of</strong> or serve as President. In the event that<br />

the <strong>of</strong>fice <strong>of</strong> President-Elect is vacant, then a President shall be elected in the<br />

manner set forth in 5.1 a. and 10.3.<br />

5.4 CONCURRENT OFFICES<br />

No Fellow may be nominated for, elected to or serve at any one time in more than<br />

one <strong>of</strong> the positions referred to in 4.2.<br />

5.5 ELIGIBILITY FOR OFFICE<br />

Only Fellows eligible to vote, pursuant to 3.4, shall be eligible for <strong>of</strong>fice.<br />

b Subject to the provisions <strong>of</strong> 4.2 e, no Fellow may continuously serve as a:<br />

(1) Vice President, for longer than an incomplete term and two full threeyear<br />

terms;<br />

(2) Governor, for longer than an incomplete term and two full three-year<br />

terms; or<br />
