7.3 QUORUM AND VOTING<br />

A quorum consisting <strong>of</strong> 2/3 <strong>of</strong> the Executive Committee shall be required to conduct<br />

its business. The President shall be entitled to vote.<br />

7.4 MEETINGS<br />

Executive Committee meetings, except for a meeting during the annual meeting,<br />

may be held using any method <strong>of</strong> communication which will assure the widest<br />

possible participation by the members <strong>of</strong> the Executive Committee, including but<br />

not limited to: in person, video or audio tele-conferencing, online<br />

communication, individual telephone call, mail, electronic mail, fax or telex.<br />

Except during the annual meeting, a meeting <strong>of</strong> the Executive Committee may<br />

be called by the President or by any three other members <strong>of</strong> the Executive<br />

Committee at any time, however, at least forty-eight hours advance notice must<br />

be given to each member <strong>of</strong> the Executive Committee <strong>of</strong> a meeting so called.<br />

Notice may be in writing by prepaid certified mail, courier delivery, electronic<br />

mail, fax, telex, telephone, online communication with receipt, or other actual<br />

notice (to be confirmed in writing within forty-eight hours) setting forth the day,<br />

time and place <strong>of</strong> the meeting.<br />

Action <strong>of</strong> the Executive Committee shall be by a majority vote <strong>of</strong> those members<br />

present or participating. Absentee and proxy voting is not permitted.<br />

Minutes shall be kept <strong>of</strong> all meetings and a summary <strong>of</strong> the minutes mailed to<br />

each Board member within twenty-one (21) days after each meeting.<br />

In the event <strong>of</strong> any differences between the Executive Committee and the<br />

Board, the decision <strong>of</strong> the Board shall prevail.<br />

The permanent boards <strong>of</strong> the <strong>Academy</strong> are the Board <strong>of</strong> Review and the Board <strong>of</strong><br />

Admissions.<br />

8.2 BOARD OF REVIEW<br />

Powers and Duties <strong>of</strong> The Board <strong>of</strong> Review<br />

(1) The Board <strong>of</strong> Review is the judicial body <strong>of</strong> the <strong>Academy</strong>. The Board <strong>of</strong><br />

Review may, after preliminary inquiry, upon application by the Board,<br />

Executive Committee, a Fellow or Chapter or on its own, make inquiry into<br />

the conduct <strong>of</strong> any Fellow <strong>of</strong> the <strong>Academy</strong> or any Chapter, hold hearings<br />

on such matters or render findings, opinions and recommendations to the<br />

Board.<br />

(2) The Board <strong>of</strong> Review may render opinions on any question <strong>of</strong> ethics<br />

requested by Fellows <strong>of</strong> the <strong>Academy</strong>, whether or not there shall be a<br />

current dispute involving said question, but no opinion shall be given on a<br />

matter in litigation;<br />
