If, without good reason, an <strong>of</strong>ficer or Governor, other than a Past President, fails<br />

to attend two successive meetings <strong>of</strong> the Board, the issue <strong>of</strong> whether that<br />

person may continue in <strong>of</strong>fice shall be the first item on the agenda at the next<br />

meeting <strong>of</strong> the Board.<br />

That person, or that persons' designee, shall be given the opportunity to explain<br />

to the Board, either in person or in writing, why the Board should excuse the<br />

absences.<br />

The issue shall then be treated as a motion to remove and may be debated.<br />

If the vote on the motion is in the affirmative by a majority <strong>of</strong> two-thirds, that<br />

Fellow (who may not vote on this motion) shall thereupon be removed from and<br />

disqualified from serving in the position held.<br />

12. Any statement <strong>of</strong> policy to be made by the <strong>Academy</strong> must be approved by the Board<br />

or its designee.<br />

AMENDMENTS AND REPEALS<br />

No amendment or repeal <strong>of</strong> these bylaws may be considered by the Board at a<br />

meeting unless the notice for that meeting included a proposal to amend or repeal<br />

the bylaws; any such proposal to be provided to the members <strong>of</strong> the Boad in writing<br />

at least 30 days before the meeting.<br />

13.2 TWO READINGS<br />

These Bylaws may only be amended or repealed after presentation to two separate<br />

Board meetings.<br />

at the first meeting <strong>of</strong> the Board the proposal to amend or repeal must obtain a<br />

majority <strong>of</strong> those voting; if it does not it cannot be considered at the second<br />

meeting. Changes in any proposed amendment may be made by the majority <strong>of</strong><br />

the Board at the first meeting.<br />

at the second meeting <strong>of</strong> the Board the proposal to amend or repeal must be<br />

supported by two-thirds <strong>of</strong> those voting. At the second Board meeting the<br />

wording, but not the substance, <strong>of</strong> the proposal may be altered or amended.<br />

Unless otherwise stated by its provisions, the amendment or repeal shall<br />

become effective upon approval by the Board.<br />
