If, without good reason, an officer or Governor, other than a Past President, fails
to attend two successive meetings of the Board, the issue of whether that
person may continue in office shall be the first item on the agenda at the next
meeting of the Board.
That person, or that persons' designee, shall be given the opportunity to explain
to the Board, either in person or in writing, why the Board should excuse the
absences.
The issue shall then be treated as a motion to remove and may be debated.
If the vote on the motion is in the affirmative by a majority of two-thirds, that
Fellow (who may not vote on this motion) shall thereupon be removed from and
disqualified from serving in the position held.

12. Any statement of policy to be made by the Academy must be approved by the Board
or its designee.

AMENDMENTS AND REPEALS
No amendment or repeal of these bylaws may be considered by the Board at a
meeting unless the notice for that meeting included a proposal to amend or repeal
the bylaws; any such proposal to be provided to the members of the Boad in writing
at least 30 days before the meeting.
13.2 TWO READINGS
These Bylaws may only be amended or repealed after presentation to two separate
Board meetings.

at the first meeting of the Board the proposal to amend or repeal must obtain a
majority of those voting; if it does not it cannot be considered at the second
meeting. Changes in any proposed amendment may be made by the majority of
the Board at the first meeting.
at the second meeting of the Board the proposal to amend or repeal must be
supported by two-thirds of those voting. At the second Board meeting the
wording, but not the substance, of the proposal may be altered or amended.
Unless otherwise stated by its provisions, the amendment or repeal shall
become effective upon approval by the Board.
