The Independent Expert has concluded that the transaction the subject of Resolution 1 of the General
Meeting is both fair and reasonable to Non-associated Shareholders. Shareholders should refer to
the Independent Expert’s Report for further discussion about Resolution 1. The Independent Expert’s
Report is enclosed with this Notice of General Meeting.
