The Axa group has also given a commitment to maintainthe liquidity of BNP Paribas’ interest in Finaxa. The agreementinitially covered a period of three years from the date ofsignature. Under an amendment to this agreement dated26 October 2004, this period was renewed for a further periodof two years effective 12 September 2004. At the end of thisextended period, the agreement will be automatically renewablefor successive one-year periods until terminated by either partywith three months’ notice. The agreement and amendmentthereto were published by the Conseil des Marchés Financiersand the Autorité des Marchés Financiers on 28 September 2001and 28 October 2004, respectively.Agreements entered into in prior years which remainedin force during the yearIn application of the decree of 23 March 1967, we wereinformed of the following agreements entered into in prioryears, which remained in force during the year:• Agreement with the Axa group(agreement signed in 2001)On 12 September 2001, the BNP Paribas and Axa groupssigned a standstill agreement whereby each party undertooknot to reduce its interest in the other party to below aspecified level. At the end of the period covered by theagreement, each partner will have a pre-emptive right topurchase the other partner’s shares. In addition the twopartners have call options on the other’s shareholdings,which are exercisable in the event of a change of control.This agreement was amended on 26 October 2004, asdescribed above (“Agreements entered into during the year”).• Guarantees given to directorsBNP Paribas SA has taken out insurance policies to coverany financial liability and defence costs of the directorsand senior executives of its subsidiaries and branches inthe case of any proceedings initiated against them thatconcern the normal exercise of their functions.
