Crime & Criminals Tracking Network and Systems ProjectSikkim Police2 MASTER SERVICES AGREEMENTTHIS AGREEMENT is made on this the day of 2011 at , India.BETWEENGovernor of Sikkim acting through Director General of Police, Sikkim, Sikkim PoliceHeadquarters, Gangtok, India (hereinafter referred to as „Client, which expression shall, unlessexcluded by or repugnant to the context, include his successor in office and assignees anddelegates) on the one part,AND, a Company registered under the Companies Act, 1956, having its registered office at acting through , authorized through Power of Attorney dated to sign the document(hereinafter referred to as ‗System Integrator/ SI’ which expression shall, unless excluded by orrepugnant to the context, include his successors/ administrators/ assignees) on the second part.Each of the parties mentioned above are collectively referred to as the ‗Parties‘ and individuallyas a ‗Party‘.WHEREAS:1. Client is desirous to implement the Mission Mode Project Crime & Criminal TrackingNetwork and Systems, an initiative of National Crime Record Bureau under Ministry ofHome Affairs in Sikkim Police for creating a comprehensive and integrated system forenhancing the efficiency and effectiveness of policing at all levels and especially at thePolice Station level through adoption of principles of e-Governance.2. In furtherance of the same, Client undertook the selection of a suitable System Integratorthrough a competitive bidding process for implementing the Project and in this behalfissued Request for Proposal (RFP) dated .3. The successful bidder has been selected as the System Integrator on the basis of the BidDetails set out as Annexure of this Agreement, to undertake the Project of thedevelopment and implementation of the solution, its roll out and sustained operations.NOW THEREFORE, in consideration of the mutual covenants, promises, assurances,representations and provisions set forth herein, the Parties hereto agree as follows:Volume III Request for Proposal for Selection of System Integrator Page 10 of 132
Crime & Criminals Tracking Network and Systems ProjectSikkim Police2.1 Definitions and Interpretations2.1.1 DefinitionsTerms and expressions used in this Agreement (including the Introduction) shall have themeanings set out in Schedule I.2.1.2 InterpretationIn this Agreement, unless otherwise specified:(a) references to Clauses, Sub-Clauses, Paragraphs, Schedules and Annexure are toclauses, sub-clauses, paragraphs, schedules and annexure to this Agreement;(b) use of any gender includes the other genders;(c) references to a ‗company‘ shall be construed so as to include any company,corporation or other body corporate, wherever and however incorporated orestablished;(d) references to a ‗person‘ shall be construed so as to include any individual, firm,company, government, state or agency of a state, local or municipal authority orgovernment body or any joint venture, association or partnership (whether or nothaving separate legal personality);(e) a reference to any statute or statutory provision shall be construed as a reference tothe same as it may have been, or may from time to time be, amended, modified or reenacted;(f) any reference to a ‗day‘ (including within the phrase ‗business day‘) shall mean aperiod of 24 hours running from midnight to midnight;(g) references to a „business day‟ shall be construed as a reference to a day (otherthan a Sunday) on which Government offices in the State of Sikkim are generallyopen for business;(h) references to times are to Indian Standard Time;(i) a reference to any other document referred to in this Agreement is a reference to thatother document as amended, varied, notated or supplemented at any time; and(j) all headings and titles are inserted for convenience only. They are to be ignored inthe interpretation of this Agreement.(k) System integrator (SI) has been used for the same entity i.e. bidder selected for theproject.2.2 Measurements and Arithmetic ConventionsAll measurements and calculations shall be in the metric system and calculations done to 2 (two)decimal places, with the third digit of 5 (five) or above being rounded up and below 5 (five) beingrounded down except in money calculations where such amounts shall be rounded off to thenearest INR.Volume III Request for Proposal for Selection of System Integrator Page 11 of 132
