SPMU may comprise of the staff members ofthe Client or may be a team of external experts (as defined in the RFPVolume 1);Project Timelines shall have the same meaning ascribed to in Annexure C;Providing Party shall have the same meaning ascribed to it in Clause 2.14.5Receiving Party shall have the same meaning ascribed to it in Clause 2.14.5ReplacementSystem IntegratorRequiredConsentsServicesService LevelSLAStakeholdersmeans any third party that Client or its nominated agencies appoint toreplace System Integrator upon expiry of the Term or termination of thisAgreement to undertake the Services or part thereof;means the consents, waivers, clearances and licenses to use Client‘sIntellectual Property Rights, rights and other authorizations as may berequired to be obtained for the software and other items that Client or theirnominated agencies are required to make available to System Integratorpursuant to this Agreement;means the services delivered to the Stakeholders of Client or itsnominated agencies, employees of Client or its nominated agencies, andto professionals, using the tangible and intangible assets created,procured, installed, managed and operated by the System Integratorincluding the tools of information and communications technology andincludes but is not limited to the list of services specified in Annexure B;means the level of service and other performance criteria which will applyto the Services delivered by the System Integratormeans the Performance and Maintenance SLA executed as part of thisMaster Service Agreement;Term stakeholders shall cover Citizens/ Citizens groups,MHA/NCRB/Others, State Police department, CID, CBI, ExternalDepartments of the State such as Jails, Courts, Passport Office, TransportDepartment and Hospitals etc., Non-Government/Private sectororganizationsTerm shall have the same meaning ascribed to it in Clause 2.5.1Third PartySystemsmeans systems (or any part thereof) in which the Intellectual PropertyRights are not owned by the Client or System Integrator and to whichSystem Integrator has been granted a license to use and which are usedVolume III Request for Proposal for Selection of System Integrator Page 40 of 132
