The security, integrity and availability of all data processed, held or conveyed bythe Partner on behalf of CLIENT and documentation related thereto;ii.iii.iv.That the actual level of performance of the services is the same as specified inthe SLA;That the System Integrator has complied with the relevant technical standards,and has adequate internal controls in place; andThe compliance of the System Integrator with any other obligation under theMSA and SLA.v. Security audit and implementation audit of the system shall be done once eachyear, the cost of which shall be borne by the System Integrator.vi.For the avoidance of doubt the audit rights under this Schedule shall not includeaccess to the System Integrator's profit margins or overheads associated withany obligation under the MSA.3.4.5 Audit Rights of Consortium/partners, Suppliers And Agents(a)(b)The System Integrator shall use reasonable endeavours to achieve the sameaudit and access provisions as defined in this Schedule with consortium/partners,suppliers and agents who supply labour, services, equipment or materials inrespect of the services. The System Integrator shall inform the CLIENT or itsnominated agency prior to concluding any consortium/partners or supplyagreement of any failure to achieve the same rights of audit or access.REPORTING: The System Integrator will provide quarterly reports to the Client orits nominated agency regarding any specific aspects of the Project and in contextof the audit and access information as required by the CLIENT or its nominatedagency.3.4.6 Action and Review(a)(b)Any change or amendment to the systems and procedures of the SystemIntegrator, or consortium/partners, where applicable arising from the audit reportshall be agreed within thirty (30) calendar days from the submission of the saidreport.Any discrepancies identified by any audit pursuant to this Schedule shall beimmediately notified to the CLIENT or its nominated agency and the SystemIntegrator‘s Project Manager in consultation with Client, shall determine whataction should be taken in respect of such discrepancies in accordance with theterms of the MSA.3.4.7 Terms of PaymentThe System Integrator shall bear all the cost of any audits and inspections. The terms of paymentare inclusive of any costs of the System Integrator and the consortium/partners, for all reasonableassistance and information provided under the MSA, the Project Implementation, Operation andManagement SLA by the System Integrator pursuant to this Schedule.Volume III Request for Proposal for Selection of System Integrator Page 50 of 132
Crime & Criminals Tracking Network and Systems ProjectSikkim Police3.4.8 Records and InformationFor the purposes of audit in accordance with this Schedule, the System Integrator shall maintaintrue and accurate records in connection with the provision of the services and the SystemIntegrator shall handover all the relevant records and documents upon the termination or expiry ofthe MSA.3.5 Schedule – V: Governance Schedule3.5.1 PurposeThe purpose of this Schedule is to:(i)(ii)(iii)(iv)(v)(vi)(vii)establish and maintain the formal and informal processes for managing therelationship between the CLIENT and the System Integrator (including theoutputs from other Schedules to this Agreement;define the principles that both Parties wish to follow to ensure the delivery of theServices;ensure the continued alignment of the interests of the Parties;ensure that the relationship is maintained at the correct level within each Party;create the flexibility to revise and maintain the relationship and this Agreementduring the Term;set out the procedure for escalating disagreements; andenable contract administration and performance management.3.5.2 Governance Structure(a)(b)(c)(d)Project Managers: The relationship under this Agreement will be managed by theProject Managers appointed by each Party, who will provide the interface betweenthe executive management of the respective Parties.Project Implementation Unit (PIU): In addition the Governance Structure definedin the RFP Volume I, Within 7 days following the Effective Date, CLIENT or itsnominated agencies and the System Integrator shall form a joint ProjectImplementation Unit comprising of members from each party, and each partyshall appoint a Project Manager. In the event that either Party wishes tosubstitute its Project Manager it will do so in manner in which the originalappointment is made and notify the other Party of such substitution as soon asreasonably practicable but at the latest within 7 days of the substitution.The Project Managers shall have responsibility for maintaining the interface andcommunication between the Parties.The PIU will meet formally on a fortnightly / monthly / quarterly, as required, basisat a time and location to be agreed between them. These meetings will cover, as aminimum, the following agenda items: (i) consideration of Quarterly PerformanceReports; (ii) consideration of matters arising out of the Change Control Schedule;(iii) issues escalated in accordance with the escalation procedure as set out inthe Governance Schedule; (iv) matters to be brought before the PIU inaccordance with the MSA and the Schedules; (v) any matter brought before theVolume III Request for Proposal for Selection of System Integrator Page 51 of 132
