<strong>Crime</strong> & Criminals Tracking Network and Systems ProjectSikkim Police3 SCHEDULES3.1 Schedule - I: DefinitionsAdverse EffectAgreementApplicable Law(s)AssetsSoftwareBusiness HoursCertificate(s) ofComplianceConfidentialInformationmeans material adverse effect on(a) the ability of the System Integrator to exercise any of its rights orperform/discharge any of its duties/obligations under and in accordancewith the provisions of this Agreement and/or(b) the legal validity, binding nature or enforceability of this Agreement;means this Master Services Agreement, Service Level Agreement andNon-Disclosure Agreement together with all Articles, Annexure, Schedulesand the contents and specifications of the Volumes I and II of the <strong>RFP</strong>;means any statute, law, ordinance, notification, rule, regulation, judgment,order, decree, bye-law, approval, directive, guideline, policy, requirementor other governmental restriction or any similar form of decision of, ordetermination by, or any interpretation or administration of the Client asmay be in effect on the date of the execution of this Agreement and duringthe subsistence thereof, applicable to the Project;shall have the same meaning ascribed to it in Clause 2.12 (a)means the software (including CAS (State)) designed, developed /customized, tested and deployed by the System Integrator for thepurposes of the Project and includes the source code (in case of Bespokedevelopment) along with associated documentation, which is the workproduct of the development efforts involved in the Project and theimprovements and enhancements effected during the term of the Project,but does not include the proprietary software components and toolsdeployed by the System Integrator;shall mean the working time for Sikkim Police IT Cell personnel which is9:00 AM to 4:00 PM. Again for Servers and other components whichenable successful usage of <strong>CCTNS</strong> solution the working time should beconsidered as 24 hours for all the days of the week. It is desired that ITmaintenance, other batch processes (like backup) etc. should be plannedso that such backend activities have minimum effect on the performance;shall have the same meaning ascribed to it in Clause 2.7.4.;means all information including Sikkim Police Data (whether in written,oral, electronic or other format) which relates to the technical, financial andbusiness affairs, which is disclosed to or otherwise learned by the SystemIntegrator in the course of or in connection with this Agreement (includingwithout limitation such information received during negotiations, locationVolume <strong>III</strong> Request for Proposal for Selection of System Integrator Page 37 of 132
