Crime & Criminals Tracking Network and Systems ProjectSikkim Police2.9 Undertakings of the Client or its Nominated AgenciesWithout prejudice to any other undertakings or obligations of the Client or its nominated agenciesunder this Agreement the Client or its nominated agencies shall undertake the following:(l)(m)(n)(o)To provide any support through personnel to test the system during the Term;To provide any support through personnel and/or test data during development,rollout, steady state operation, as well as, for any changes/enhancements in thesystem whenever required due to scope change that may arise due to business,delivery or statutory/regulatory reasons;Client shall provide the data (including in electronic form wherever available) tobe digitized or migrated.To authorize the System Integrator to interact for implementation of the Projectwith external entities such as the Transport Department, Government Hospitals,Courts, Jails, etc. other entities mentioned for integration requirements in VolumeI of the RFP.2.10 Obligations of the System Integrator(a)(b)(c)(d)It shall provide to the Client or its nominated agencies, the Minimum RequiredDeliverables as set out in Annexure C of this Agreement.It shall keep abreast of the relevant technical, managerial and operationalrequirements applicable to the provision of the services and best practices in thisarea and shall share their knowledge with Client or its nominated agenciesregarding matters which would assist Client or its nominated agencies in its useof the Services, provided that System Integrator shall not be obligated to shareother client information or Confidential Information of System Integrator notrelevant to this Agreement;It shall perform the Services as set out in Section 2 of this Agreement and in aprofessional manner commensurate with industry and technical standards whichare generally in effect for international projects and innovations pursuant thereonsimilar to those contemplated by this Agreement, and so as to comply with theapplicable Service Levels set out with this Agreement.It shall ensure that the Services are being provided as per the Project Timelinesset out as Annexure C to this Agreement.2.11 Approvals and Required Consents(a)(b)The Parties shall cooperate to procure, maintain and observe all relevant andregulatory and governmental licenses, clearances and applicable approvals(hereinafter the ―Required Consents‖) necessary for the System Integrator toprovide the Services. The costs of such Approvals shall be borne by the Partynormally responsible for such costs according to local custom and practice in thelocations where the Services are to be provided.The Client or its nominated agencies shall use reasonable endeavours to assistSystem Integrator to obtain the Required Consents. In the event that anyRequired Consent is not obtained, the System Integrator and the Client or itsnominated agencies will co-operate with each other in achieving a reasonableVolume III Request for Proposal for Selection of System Integrator Page 18 of 132
Crime & Criminals Tracking Network and Systems ProjectSikkim Policealternative arrangement as soon as reasonably practicable for the Client or itsnominated agencies to continue to process its work with as minimal interruptionto its business operations as is commercially reasonable until such RequiredConsent is obtained, provided that the System Integrator shall not be relieved ofits obligations to provide the Services and to achieve the Service Levels until theRequired Consents are obtained if and to the extent that the System Integrator‘sobligations are not dependent upon such Required Consents.2.12 Use of Assets by the System IntegratorDuring the Term the System Integrator shall:(a)(b)(c)(d)(e)(f)(g)(h)take all reasonable and proper care of the entire hardware and software, networkor any other information technology infrastructure components used for theProject and other facilities leased / owned / operated by the System Integratorexclusively in terms of ensuring their usability for the delivery of the Services asper this Agreement (hereinafter the ―Assets‖) in proportion to their use andcontrol of such Assets which will include all upgradation/enhancements andimprovements to meet the current needs of the Project; andkeep all the tangible Assets in as good and serviceable condition (reasonablewear and tear excepted) and/or the intangible Assets suitably upgraded subjectto the relevant industry standards (including those stated in Volume I of the RFP)as at the date the System Integrator takes control of and/or first uses the Assetsand during the entire Term of the Agreement. Pursuant to technologicalobsolescence, upgradation will be carried out by the System Integrator.ensure that any instructions or manuals supplied by the manufacturer of theAssets for use of the Assets and which are provided to the System Integrator willbe followed by the System Integrator and any person who will be responsible forthe use of the Assets;take such steps as may be properly recommended by the manufacturer of theAssets and notified to the System Integrator or as may, in the reasonable opinionof the System Integrator, be necessary to use the Assets in a safe manner;ensure that the Assets that are under the control of the System Integrator, arekept suitably housed and in conformity with Applicable Law;procure permission from the Client or its nominated agencies and any personsduly authorized by them to enter any land or premises on which the Assets arefor the time being sited so as to inspect the same, subject to any reasonable thirdparty requirements;not, knowingly or negligently use or permit any of the Assets to be used incontravention of any statutory provisions or regulation or in any way contrary toApplicable Law; andbe responsible for undertaking comprehensive insurance including liabilityinsurance, system and facility insurance and any other insurance for thepersonnel, Assets, data, software, etc.2.13 Access to the Client or its Nominated Agencies LocationsFor so long as the System Integrator provides services to the Client or its nominated agenciesVolume III Request for Proposal for Selection of System Integrator Page 19 of 132
