<strong>Crime</strong> & Criminals Tracking Network and Systems ProjectSikkim Police2.22 Intellectual Property Rights2.22.1 Products and fixes:All products and related solutions and fixes provided pursuant to this work order shall be licensed,according to the terms of the license agreement packaged with or otherwise applicable to suchproduct in the name of CLIENT. Bidder would be responsible for arranging any licensesassociated with products. ―Product‖ means any computer code, web-based services, or materialscomprising commercially released, pre-release or beta products (whether licensed for a fee or nocharge) and any derivatives of the foregoing which are made available to CLIENT for licensewhich is published by product owner or its affiliates, or a third party. ―Fixes‖ means product fixesthat are either released generally (such as commercial product service packs) or that areprovided to you when performing services (such as workarounds, patches, bug fixes, beta fixesand beta builds) and any derivatives of the foregoing.2.22.2 Customized CAS (State)<strong>SI</strong> shall neither hold nor shall claim to have any type of right(s) for the customization made in theCore Application Software (State) or on the additionally developed modules/ applications/ utilities/APIs including source code and material (including upgrade/ updates/ fixes/ patches/etc.), asdone during the implementation of the project and shall always lie with the CLIENT.2.22.3 Bespoke development:The IPR rights for any bespoke development done during the implementation of the project will liewith CLIENT.2.22.4 Pre-existing work:All IPR including the source code and materials (other than products or fixes) developed orotherwise obtained independently of the efforts of a party under this agreement (―pre-existingwork‖) shall remain the sole property of that party. During the performance of the services forthis agreement, each party grants to the other party (and their Consortium/ Partners asnecessary) a non-exclusive license to use, reproduce and modify any of its pre-existing workprovided to the other party solely for the performance of such services. Except as may beotherwise explicitly agreed to in a statement of services, upon payment in full, the bidder shouldgrant CLIENT a non-exclusive, perpetual, full use, fully paid-up enterprise edition license(s) touse, reproduce and modify (if applicable) the pre-existing work in the form delivered to CLIENT aspart of the service deliverables only for its internal business operations. Under such license eitherof parties will have no right to sell the pre-existing work of the other party to a Third Party.CLIENT‘s license to pre-existing work is conditioned upon its compliance with the terms of thisagreement and the perpetual license applies solely to the pre-existing work that bidder leaveswith CLIENT at the conclusion of performance of the services.2.23 Miscellaneous2.23.1 Personnel(a)The personnel assigned by System Integrator to perform the Services shall beemployees of System Integrator, and under no circumstances shall suchVolume <strong>III</strong> Request for Proposal for Selection of System Integrator Page 30 of 132
