At this time before we go any further, I am remiss, we should
stand and have a moment of silence for our grandfather who is
not here, the late Jim Grote. My apologies.

PRESIDENT MANSFIELD: Thank you. Please be seated.
Now the report of the By-Laws Committee, Carl Winslow.
CHIEF CARL H. WINSLOW: [Yarmouth, ME] Thank you,
Mr. President. The Board of Directors voted unanimously to
propose three changes in the by-laws of the New England
Association of Fire Chiefs, Incorporated.
The following changes were proposed: Following the provision
of Article IV, Section 6 change to Article I "The Officers"
Section I, by adding "with the exception of the Secretary or
Treasurer who shall be or have been an active fire chief and is a
member of the Association" to the sentence, "A member shall
be an active member when elected to office."
The second change is the change to Article III, "Duties"
Section 3 by deleting "The Secretary shall have in addition all
the powers and duties of a ’Clerk’ under the laws of the Commonwealth
of Massachusetts. He shall be a resident of Massachusetts
as required by said laws."
The third proposed change to Article III, "Duties" by adding
a Section 6: "The ’Clerk’ of the corporation shall be the Director
from Massachusetts. The ’Clerk’ shall perform all the duties
required under the laws of the Commonwealth of Massachusetts
for corporations."
At this time on behalf of the Board of Directors, I hereby
move that the Association postpone indefinitely the proposed
changes to the by-laws.
