9. Except as disclosed in the Prospectus, there has been no significant change in the financial
or trading position of VBAG or of the Group since 31 December 2006 and no
material adverse change in the financial position or prospects of VBAG or of the
Group since 31 December 2006.
10. Except as disclosed in the Prospectus (see "Litigation and arbitration proceedings"),
neither VBAG nor any member of the Group is or has been involved in any legal or
arbitration proceedings that may have, or have had during the twelve months preceding
the date of this document, a significant effect on the financial position of the
Group or of VBAG or which is relating to claims or amounts that are material in the
context of the issue of Notes nor is VBAG aware that any such proceedings are pending
or threatened.
11. The consolidated financial statements of VBAG as at and for the years ended 31 December
2005 and 31 December 2006 have been audited and unqualified audit opinions
have been issued by KPMG Wirtschaftsprüfungs- und Steuerberatungs GmbH
(former KPMG Alpen-Treuhand GmbH Wirtschaftsprüfungs- und Steuerberatungsgesellschaft),
Kolingasse 19, A - 1090 Vienna, Austria, ("KPMG"). KPMG is a member
