LICENSE AGREEMENT<br />
This AGREEMENT is made this day of, 2010 between the CITY OF JERSEY CITY, a municipal<br />
corporation of the State of New <strong>Jersey</strong>, with offices at <strong>City</strong> Hall, 280 Grove Street, <strong>Jersey</strong> <strong>City</strong>, New<br />
<strong>Jersey</strong> 07302, hereinafter designated as "LICENSOR" and the <strong>Jersey</strong> <strong>City</strong> Episcopal Community<br />
Development Corp., with offices at 514 Newark Avenue, <strong>Jersey</strong> <strong>City</strong>, New <strong>Jersey</strong> 07306 hereinafter<br />
designated as "LICENSEE".<br />
WITNESSETH that:<br />
1. The Licensor is the owner of property located at the following sites in <strong>Jersey</strong> <strong>City</strong>, New <strong>Jersey</strong> as<br />
shown on the official map of the Tax Assessor of <strong>Jersey</strong> <strong>City</strong>, Hudson County, New <strong>Jersey</strong><br />
(hereinafter the "Property").<br />

2. The Licensor agrees to permit the Licensee to enter onto the property for the sole purpose of<br />
conducting architectural and environmental inspections and additional activities.<br />
3. The Licensee agrees that any work performed shall be at the Licensee's sole cost and expensed and<br />
shall be performed by a licensed contractor qualified in the State of New <strong>Jersey</strong><br />
4. All property, for which the Licensee has obtained access pursuant to this Agreement; must and shall<br />
be immediately restored to their previous conditions upon completion of conducting architectural and<br />
environmental inspections.<br />
5. The Licensee shall defend, indemnify, save and hold harmless the Licensor from any and all<br />
accidents, losses, damages, claims, demands, suits, liens, expenses (including reasonable<br />
attorneys' fees and expenses) and judgments of any nature arising, or alleged to arise, by reason of<br />
this Agreement or the use of the Property by the Licensee or any of its agents, servants, employees,<br />
contractors, subcontractors or invitees, in on or about the Property for the purposes set forth above<br />
with its permission, express or implied, and whether the use of the Property is within or outside the<br />
scope of the above permitted use. The obligations of the Licensee to indemnify the Licensor<br />
pursuant to this Section shall survive any termination of this Agreement.<br />
6. The Licensee agrees to carry or require its contractor to carry property damage and Comprehensive<br />
General Liability Insurance for an amount not less than $1,000,000 or such other type and amount<br />
as is deemed necessary and appropriate by the <strong>City</strong>'s Risk Manager. The Licensee shall furnish to<br />
the Licensor a Certificate of Insurance for the benefit of the Licensee and Licensor naming the<br />
Licensor, its employees or agents as additional named insured and covering the Property herein<br />
described. Delivery of Certificate of Insurance evidencing policies or insurance and proof of payment<br />
of premium shall be delivered to the Licensor at least one week after execution of this Agreement.<br />
The obligation of the Licensee to indemnify the Licensor pursuant to the Section shall survive any<br />
termination of this Agreement.<br />
7. The Licensee shall further furnish to the Licensor evidence that it has reasonable compensation<br />
insurance for the protection of any of the employees or agents of the Licensee.<br />
8. ALL accidents or injuries to persons, or any damages, etc., occurring as a result of or in connection<br />
with the Licensee's use of the Property, shall be reported immediately to the <strong>City</strong> of <strong>Jersey</strong> <strong>City</strong>,<br />
Division of Risk Management and the Office of Real Estate as authorized representatives of the<br />
Licensor together with all information required by the Licensor on the prescribed forms to be<br />
provided by the Licensor.<br />
9. The Licensee shall, accept sole responsibilty for any or all security, if necessary, for its equipment<br />
and supplies or the equipment and supplies of its agents, servants, employees, contractors and<br />
invitees while on the premises, at no cost to the <strong>City</strong> of <strong>Jersey</strong> <strong>City</strong>.
