GOVERNANCE STRUCTURE<br />
<strong>ARISE</strong> <strong>High</strong> <strong>School</strong> shall be a public charter school operated by a duly constituted<br />
California Public Benefit Corporation pursuant to California law. This nonprofit<br />
corporation will continue its existence notwithstanding any withdrawal of charter<br />
status.<br />
As provided by the California Corporations Code, <strong>ARISE</strong> <strong>High</strong> <strong>School</strong> will be governed<br />
by its Board of Directors, whose members will have a legal and fiduciary responsibility<br />
for the well-being of the organization. The Board of Directors will be composed of five<br />
to fifteen members who will have experience in the following areas of expertise:<br />
• Curriculum & Instruction,<br />
• Management & Leadership,<br />
• Financial Management,<br />
• Legal Issues,<br />
<strong>ARISE</strong> <strong>High</strong> <strong>School</strong> will seek members who may also have the following expertise:<br />
• Community & Public Relations,<br />
• Standards & Assessment,<br />
• Parent/Guardian Relations & Outreach,<br />
• Organizational Development<br />
• Facilities & Real Estate.<br />
The board will include at least one staff person who is employed by the school and<br />
one parent representative whose child attends the school, and a non-voting student<br />
representative. Oakland Unified <strong>School</strong> District as the chartering authority may<br />
appoint one member to sit on the <strong>ARISE</strong> governing board.<br />
The school will be governed pursuant to the bylaws adopted by the incorporators, as<br />
subsequently amended pursuant to the amendment process specified in the bylaws.<br />
The Board of Director's major roles and responsibilities include:<br />
• Adopting and overseeing the budget and fiscal affairs of the school;<br />
• Approving policies and procedures regarding employment, including but not<br />
limited to, appointment, promotion, contracts, leaves of absence, fringe<br />
benefits, qualifications of professional and nonprofessional staff, professional<br />
development and dismissal of employees;<br />
• Incurring temporary debts in anticipation of the receipt of funds;<br />
• Overseeing the performance and ensuring accountability of any outsourced<br />
service providers;<br />
• Establishing the annual academic calendar;<br />
• Designating depositories of school funds;<br />
