Significant Legal Proceedings The UBI Banca Group is subject to certain claims and is party to a number of legal proceedings relating to the normal course of its business. Although it is difficult to predict the outcome of such claims and proceedings with certainty, UBI Banca believes that liabilities related to such claims and proceedings are unlikely to have, in the aggregate, significant effects on the financial position or profitability of UBI Banca or the UBI Banca Group. Recent developments Re-organisation of UBI Banca and of the management of certain UBI Banca Group companies On 7 July 2009, UBI Banca announced that, with effect from 1 September 2009, it would be implementing changes both in its internal organisational structure and at the management level of various companies within the UBI Banca Group. The changes are designed to simplify the organisational structure resulting from the merger by incorporation of Banca Lombarda into the former BPU, following completion of the integration process. The changes include the simplification of UBI Banca's general management, which from 1 September 2009 will consist of a General Manager (Riccardo Sora), a Joint General Manager (Graziano Caldiani) and four Deputy General Managers (Ettore Medda, Rossella Leidi, Giovanni Lupinacci and Pierangelo Rigamonti). The Management Board of UBI Banca has also designated personnel with broad experience to the senior management of Group member companies in order to strengthen and enhance them.
