<strong>Prospectus</strong><br />

15.2 The Chairman and a poll<br />

The Chairman sets the conditions for the voting, including for counting and calculating the votes, and<br />

may set a time limit by which all votes must be cast. Any vote which is not cast in compliance with the<br />

terms specified by the Chairman shall be null and void. After voting ends, the votes shall be counted and,<br />

after the counting, the Chairman shall announce to the Meeting the outcome of the vote.<br />

16. VOTES<br />

16.1 Voting<br />

Each Voter shall have:<br />

16.1.1 on a show of hands, one vote; and<br />

16.1.2 on a poll every Voter who is present shall have one vote in respect of each Euro1,000 or such<br />

other amount as the Representative of the <strong>Covered</strong> <strong>Bond</strong>holders may in its absolute discretion<br />

stipulate (or, in the case of meetings of holders of <strong>Covered</strong> <strong>Bond</strong>s denominated in another<br />

currency, such amount in such other currency as the Representative of the <strong>Covered</strong><br />

<strong>Bond</strong>holders in its absolute discretion may stipulate) in the Outstanding Principal Amount of<br />

the <strong>Covered</strong> <strong>Bond</strong>s it holds or represents.<br />

16.2 Block Voting Instruction<br />

Unless the terms of any Block Voting Instruction or Voting Certificate state otherwise in the case of a<br />

Proxy, a Voter shall not be obliged to exercise all the votes to which such Voter is entitled or to cast all<br />

the votes he exercises the same way.<br />

16.3 Voting tie<br />

In the case of a voting tie, the relevant Resolution shall be deemed to have been rejected.<br />

17. VOTING BY PROXY<br />

17.1 Validity<br />

Any vote by a Proxy in accordance with the relevant Block Voting Instruction or Voting Certificate<br />

appointing a Proxy shall be valid even if such Block Voting Instruction or Voting Certificate or any<br />

instruction pursuant to which it has been given had been amended or revoked provided that none of the<br />

Issuer, the Representative of the <strong>Covered</strong> <strong>Bond</strong>holders or the Chairman has been notified in writing of<br />

such amendment or revocation at least 24 hours prior to the time set for the relevant Meeting.<br />

17.2 Adjournment<br />

Unless revoked, the appointment of a Proxy under a Block Voting Instruction or a Voting Certificate in<br />

relation to a Meeting shall remain in force in relation to any resumption of such Meeting following an<br />

adjournment save that no such appointment of a Proxy in relation to a meeting originally convened<br />

which has been adjourned for want of a quorum shall remain in force in relation to such meeting when it<br />

is resumed. Any person appointed to vote at such Meeting must be re-appointed under a Block Voting<br />

Instruction or Voting Certificate to vote at the Meeting when it is resumed.<br />

18. RESOLUTIONS<br />

18.1 Ordinary Resolutions<br />

Subject to Article 18.2 (Extraordinary Resolutions), a Meeting shall have the following powers<br />

exercisable by Ordinary Resolution, to:<br />

18.1.1 grant any authority, order or sanction which, under the provisions of these Rules or of the<br />

Conditions, is required to be the subject of an Ordinary Resolution or required to be the subject<br />

of a resolution or determined by a Meeting and not required to be the subject of an<br />

Extraordinary Resolution; and<br />
