DOING BUSINESS INTHE DOMINICAN REPUBLIC90with <strong>the</strong> essential obligations of <strong>the</strong> agreement, or any action or omission on <strong>the</strong>part of <strong>the</strong> licensee that might adversely and substantially affect <strong>the</strong> <strong>bus<strong>in</strong>ess</strong><strong>in</strong>terests of <strong>the</strong> licenser.If <strong>the</strong> event of unjust term<strong>in</strong>ation, <strong>the</strong> licensee will be entitled to sue <strong>the</strong> licenserfor <strong>the</strong> follow<strong>in</strong>g compensation:Material losses suffered as a result of <strong>the</strong> unjust term<strong>in</strong>ation by <strong>the</strong> licenser;Investments made by <strong>the</strong> licensee; andLosses of eventual profits calculated on <strong>the</strong> basis of <strong>the</strong> last five years of trad<strong>in</strong>g.The effect of <strong>the</strong>se provisions is to prevent <strong>the</strong> licenser from offer<strong>in</strong>g its productsor services <strong>in</strong> <strong>the</strong> Dom<strong>in</strong>ican market, nei<strong>the</strong>r directly nor through ano<strong>the</strong>rdistributor, until he term<strong>in</strong>ates <strong>the</strong> relation accord<strong>in</strong>g to Law 173.The effectiveness of this prohibition is re<strong>in</strong>forced by <strong>the</strong> follow<strong>in</strong>g factors:The right that may have <strong>the</strong> agent of block<strong>in</strong>g at customs <strong>the</strong> entry of goodscom<strong>in</strong>g from that company.The imposition of sanctions to any new agent, who might be jo<strong>in</strong>tly liablewith <strong>the</strong> licenser for <strong>the</strong> payment of <strong>the</strong> <strong>in</strong>demnity due to <strong>the</strong> previous agent.The long duration of an eventual procedure before Dom<strong>in</strong>ican courts which,toge<strong>the</strong>r with <strong>the</strong>ir tendency to favor <strong>the</strong> local party, makes litigation a riskyand expensive option.Usually foreign firms have thus no o<strong>the</strong>r course of action than to pay <strong>the</strong> compensation,try<strong>in</strong>g to reach an agreement with <strong>the</strong> agent <strong>in</strong> order to reduce <strong>the</strong>amount of <strong>the</strong> <strong>in</strong>demnity.Law 173 <strong>do</strong>es not dist<strong>in</strong>guish between exclusive and non-exclusive relations. Inboth cases <strong>the</strong> licenser will be bound to comply with <strong>the</strong> provisions of Law 173vis-à-vis its s<strong>in</strong>gle or various distributors, but <strong>in</strong> <strong>the</strong> case of nonexclusive agreements<strong>the</strong> licenser may avoid <strong>the</strong> risk of not be<strong>in</strong>g able to participate <strong>in</strong> <strong>the</strong> market.In o<strong>the</strong>r words,<strong>the</strong> foreign company is still obliged to pay <strong>the</strong> <strong>in</strong>demnity or provethat a just cause of term<strong>in</strong>ation exists, but it will not have to await <strong>the</strong> outcomeof <strong>the</strong> litigation or negotiations <strong>in</strong> order to cont<strong>in</strong>ue sell<strong>in</strong>g <strong>the</strong> goods through itso<strong>the</strong>r agents.Implications of Law 16-95Law 16-95 entails significant implications for foreign companies <strong>in</strong>terested to distributeproducts or services <strong>in</strong> <strong>the</strong> Dom<strong>in</strong>ican market.Registration of foreign persons as agents. Law 16-95 extended <strong>the</strong> scope of applicationof Law 173 by elim<strong>in</strong>at<strong>in</strong>g its Article 12.This article established that nei<strong>the</strong>rforeigners hav<strong>in</strong>g resided less than four years <strong>in</strong> <strong>the</strong> country nor Dom<strong>in</strong>ican companieswith more than 66% foreign capital could benefit from <strong>the</strong> protectiongranted by Law 173.Therefore now all local agents, regardless of <strong>the</strong>ir nationality,may register <strong>the</strong>ir agreements and enjoy <strong>the</strong> rights granted under Law 173.Registration of technology transfer agreements.
